Common use of Additional Indemnification Clause in Contracts

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 44 hereof, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines Liabilities and amounts paid in settlement actually and Expenses suffered or reasonably incurred (and, in the case of retainers, reasonably expected to be incurred) by Indemnitee or on his or her behalf in connection with the Proceeding or any claimsuch Proceeding, issue or matter therein.including but not limited to:

(a) Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to On Assignment, Inc. Indemnification Agreement procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

(a) Notwithstanding any limitation in Sections 2, 3 3, or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines fines, and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue issue, or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, 5 or 46 hereof, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding action, suit or proceeding (including a Proceeding any action, suit or proceeding by or in the right of the Company to procure a judgment in its favor) against all Expensesexpenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding action, suit or any claim, issue or matter thereinproceeding.

Additional Indemnification. (a) Notwithstanding Except as provided in Section 7, notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law and the Articles if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinreason of Indemnitee’s Corporate Status.

(a) Notwithstanding any limitation in Sections 2, 3 or 44 of this Agreement, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

(a) Notwithstanding any limitation in Sections 2, 3 or 4, above, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually (if, and reasonably incurred only if, such settlement is approved in advance by Indemnitee or on his or her behalf the Company, which approval shall not be unreasonably withheld) in connection with the Proceeding or any claim, issue or matter thereinProceeding.

(a) Notwithstanding Except as provided in Section 8, notwithstanding any limitation in Sections 23, 3 4 or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, is or is threatened to be made, was a party to or is or was threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement (including any interest, assessments, or other charges imposed thereon) actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, above, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually (if, and reasonably incurred only if, such settlement is approved in advance by Indemnitee or on his or her behalf the Company, which approval shall not be unreasonably withheld) in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4but subject to Section 8, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, is a party to or participant in or is threatened to be made, made a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company or to procure a judgment in its favorfavour) against all Expenses, demands, actions, payments, judgments, fines fines, liabilities, losses, damages and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf of Indemnitee in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee was or is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

(a) Notwithstanding any limitation in Sections 2, 3 or 4but subject to Section 8, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, is a party to or participant in or is threatened to be made, made a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company or Ensco Delaware to procure a judgment in its favor) against all Expenses, demands, actions, payments, judgments, fines fines, liabilities, losses, damages and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf of Indemnitee in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, is a party to or is threatened to be made, made a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) by reason of Indemnitee’s Exhibit 10.20 Corporate Status against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 44 of this Agreement, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee Indemnitee, by reason of his or her Corporate Status, is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45 of this Agreement, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably Losses incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45 of this Agreement, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinreason of Indemnitee’s Corporate Status.

Additional Indemnification. (a) Notwithstanding Except as provided in Section 8, notwithstanding any limitation in Sections 23, 3 4 or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or is threatened (or reasonably likely to be threatened) to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, above, [and except as otherwise provided in Section 15,] the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

(a) Notwithstanding any limitation in Sections 23, 3 4 or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all ExpensesExpenses and Liabilities (including all interest, judgments, fines assessments and amounts other charges paid or payable in settlement connection with or in respect of such Expenses and Liabilities) actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding Except as provided in Section 8, notwithstanding any limitation in Sections 23, 3 4 or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee iswas, is or will be involved as, or is threatened to be made, a party defendant or respondent to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 3, 4 or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2Section 3, 3 Section 4 or 4Section 5, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, was or is made a party or is threatened to be made, made a party to or a participant is otherwise involved in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines Fines and amounts paid in settlement actually and reasonably incurred or suffered by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

(a) Notwithstanding any limitation in Sections 2, 3 3, or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.reason of Indemnitee’s Corporate Status;

(a) Notwithstanding Except as provided for in Section 7 hereof, notwithstanding any limitation in Sections Section 2, 3 or 44 hereof, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines fines, penalties and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her Indemnitee’s behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her their behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines fines, penalties and amounts paid in settlement (including all interest, assessments and other charges paid or payable in connection with or in respect of such Expenses) actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinProceeding.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 3, or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinreason of Indemnitee’s Corporate Status.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 23, 3 4, 5 or 46, the Company shall indemnify Indemnitee to the fullest extent authorized or permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or threatened to be made a participant in party to any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) for, from and against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her Indemnitee’s behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) a. Notwithstanding any limitation in Sections 23, 3 4, or 45, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee Indemnitee, by reason of his or her Corporate Status is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter thereinreason of Indemnitee’s Corporate Status.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify an Indemnitee to the fullest extent permitted by applicable law if such Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by such Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines fines, penalties, excise taxes and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 2,3or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines fines, and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue issue, or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 4, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably Losses incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.

Additional Indemnification. (a) Notwithstanding any limitation in Sections 2, 3 or 44 other than the Indemnity Exclusions, the Company shall indemnify Indemnitee to the fullest extent permitted by applicable law if Indemnitee is, or is threatened to be made, a party to or a participant in any Proceeding (including a Proceeding by or in the right of the Company to procure a judgment in its favor) against all Expenses, judgments, fines and amounts paid in settlement actually and reasonably incurred by Indemnitee or on his or her behalf in connection with the Proceeding or any claim, issue or matter therein.
