Additional Global Notes Clause Samples

The "Additional Global Notes" clause serves as a section for including supplementary information or clarifications that apply broadly across the entire agreement. This clause typically contains general comments, interpretive guidance, or overarching instructions that are not specific to any single section but are relevant to the contract as a whole. By consolidating such notes in one place, it helps ensure that important context or explanations are not overlooked, thereby promoting clarity and reducing the risk of misunderstandings throughout the document.
Additional Global Notes. In connection with any transfer of beneficial interests in a Global Note that bears Restricted Securities Legends for any Global Note that does not bear a Restricted Securities Legends in accordance with Section 2.2, if a Global Note that does not bear a Restricted Securities Legend is not then outstanding (or an insufficient principal amount of such Global Notes are outstanding to permit such transfer) and the Global Notes have not been previously transferred for Definitive Notes in compliance with Section 2.05 of the Indenture, the Company shall issue and the Trustee shall authenticate, upon written order of the Company in the form of an Officer’s Certificate, one or more new Global Note without the Restricted Securities Legends in the appropriate principal amounts.
