Additional Funding Request. If Manager determines, in its reasonable discretion, that additional funds are required for the operation of the Company or the Property, then Manager shall, if and only to the extent permitted under the Mortgage Loan, first attempt to arrange for the Company to borrow such funds from third party lenders at market rates. If it is not possible to borrow funds from third party lenders, Manager shall give written notice (the “Funding Notice”) thereof to all of the Members setting forth (i) the amount of additional funds so required, (ii) the proposed application of such funds, and (iii) when any such additional funds are to be funded (which funding date shall not be less than thirty (30) days following the delivery of the notice pursuant to this Section; provided that the time for such funding shall be determined at Manager’s discretion in the event of an emergency). Upon receipt of a Funding Notice, any Member shall have the right, but not the obligation, to make a loan (a “Member Loan”) to the Company in an amount equal to the product obtained by multiplying its Membership Percentage by the additional funds required. A Member’s failure to fund a Member Loan shall not be considered to be a Default hereunder. Any Member Loan made pursuant to this Section shall bear interest at the rate of the Prime Rate plus two percent (2%) per annum, and shall be repaid as hereinafter provided. If any Member (the “Non-Participating Member”) chooses not to make a Member Loan to the Company within the time period set forth in the applicable Funding Notice, then the other Members, or any of them (the “Advancing Member(s)”) may make such additional Member Loans (“Additional Member Loans”) to such Non-Participating Member which in the aggregate are equal to the amount of the Member Loan which the Non-Participating Member elected not to make, in such proportion (in the event there is more than one (1) Advancing Member) between them as their Membership Percentages bear inter se, and any such Additional Member Loans shall bear interest at the rate of the Prime Rate plus four percent (4%) per annum, and shall be repaid as hereinafter provided. Additional Funding Request. Amendment No. 1 to the agreement was executed on April 18, 2020. Amendment No. 2 to the agreement was executed in January 2021 to include Crossing 21 and Site J Saddle work. No increase in budget or additional funding was included with Amendment No. 2. A shift of budget between an existing and new feature was incorporated to allocate available budget to work associated with Crossing 21 and Site J Saddle. Amendment No. 3, currently being reviewed by DWR, includes funding for the 500-Year Project, no increase in budget or funding was included with Amendment No. 3.
Additional Funding Request. XXXXX continues to refine the program estimate as design refinements and real estate needs and appraisals are accomplished. TRLIA has notified DWR of these increases via emails and in the recent April 5, 2019 letter. TRLIA will formally document this request in a letter requesting an increase to the funding agreement limit. This letter will also request that remaining funding from TRLIA’s two Early Implementation Projects; the Feather River Levee Improvement Project (FRLIP) and Upper Yuba River Levee Improvement Project (UYRLIP) be reallocated to the 200-Year Goldfields Levee Project to support this request. TRLIA’s letters dated April 5, 2019 related to the FRLIP and UYRLIP indicated that excess funding totaling approximately $4.0 million in aggregate would be available to be re-allocated to the shortfall in State funding for the 200-Year Goldfields project. TRLIA will need DWR’s expeditious review and approval of these requests.

Phase 3C – Lake Earthwork (Contract 1) – Additional Services: ($29,776.15) • Xxxxxxxx & Xxxxxx, LLP – Regrading of a portion of the lake edge near the future Sports & Event Center and processing a change order to the Contractor for the same per the City of Bryan’s request and direction. A professional service fee of $2,500 is for these additional services. • Terracon – Additional sediment testing for the new areas along the lake edge to be excavated and regrading within the lake as well as cost for meeting HAZWOPER trained employees being used to obtain test samples. A professional service fee of $7,296.50 is needed for these additional services. We would recommend reallocating the remaining $4,000 from Phase 5A as discussed above to pay for a portion of these fees which would leave a request for an additional $3,296.50 for these services. • Xxxxxx Associates – Additional services to perform air quality monitoring associated with the ongoing lake excavation construction services. This additional air quality monitoring is required to monitor the fugitive dust concentrations from the lake excavation that will occur along the South College side of the lake. Recent environmental testing of the lake, which could not be tested previously due to wet soil conditions, indicate elevated levels of arsenic that warrant additional controls. This air quality monitoring will be performed when the contractor begins excavation in that area of the lake, projected to occur in late January/February. This same fugitive dust monitoring was performed near the Girl Scout House when lake excavation was ongoing near that facility. Those areas of the lake also contained elevated arsenic levels, which required this additional monitoring.
