Common use of Additional Certifications Clause in Contracts

Additional Certifications. Any certificate signed by the Administrator or any officer of the Trustee or the Company and delivered to one or more Dealers or to counsel for the Dealer(s) in connection with an offering of Notes to one or more Dealers as principal or through a Dealer as an agent shall be deemed a representation and warranty by the Trust and the Company to such Dealer(s) as to the matters covered thereby on the date of such certificate.

Additional Certifications. Any certificate signed by any manager or officer of the Administrator Company or any officer of the Trustee or Guarantor, as the Company case may be, and delivered to one or more Dealers a Selling Agent or to counsel for the Dealer(s) such Selling Agent in connection with an offering of Notes or the sale of Notes to one or more Dealers a Selling Agent as principal or through a Dealer as an agent shall be deemed a representation and warranty by the Trust Company and the Company Guarantor to such Dealer(s) Selling Agent as to the matters covered thereby on the date of such certificate.

Additional Certifications. Any certificate signed by the Administrator relevant authorized signatory or any officer signatories of the Trustee Company or the Company Guarantor and delivered to one or more Dealers the Purchasing Agent or to counsel for the Dealer(s) Purchasing Agent in connection with an offering of Notes or the sale of Notes to one or more Dealers the Purchasing Agent as principal or through a Dealer as an agent shall be deemed a representation and warranty by the Trust and Company or the Company Guarantor, as applicable, to such Dealer(s) the Agents as to the matters covered thereby on the date of such certificatecertificate and at each Representation Date subsequent thereto.
