Common use of Additional Certifications Clause in Contracts

Additional Certifications. Any certificate signed by any authorized officer of the Company or any of its subsidiaries and delivered to one or more Agents or to counsel for the Agents in connection with an offering of Notes to one or more Agents as principal or through an Agent as agent shall be deemed a representation and warranty by the Company to such Agent or Agents as to the matters covered thereby on the date of such certificate and, unless subsequently amended or supplemented, at each Representation Date subsequent thereto.

Additional Certifications. Any certificate signed by any authorized officer of the Guarantor or the Company or any of its subsidiaries and delivered to one or more the Agents or to counsel for the Agents in connection with an offering of Notes or the sale of Notes to one or more Agents as principal or through an Agent as agent principal shall be deemed a representation and warranty by the Company Guarantor or the Company, as the case may be, to such Agent or the Agents as to the matters covered thereby on the date of such certificate and, unless subsequently amended or supplementedto the extent therein provided, at each Representation Date subsequent thereto.

Any certificate signed by any authorized officer of the Company Company, the Operating Partnership or any of its their respective subsidiaries and delivered to one or more Agents or to counsel for the Agents in connection with an offering of Notes to one or more Agents as principal or through an Agent as agent shall be deemed a representation and warranty by the Company such entity to such Agent or Agents as to the matters covered thereby on the date of such certificate and, unless subsequently amended or supplemented, at each Representation Date subsequent thereto.
