Additional and successor agents. The Issuer may with the prior written approval of the Note Trustee appoint additional or successor Paying Agents, a successor Agent Bank or a successor Registrar provided that such additional or successor Paying Agent, Agent Bank or Registrar shall execute and deliver to its predecessor (if any), the Issuer, the Note Trustee and (unless its predecessor is the Principal Paying Agent) the Principal Paying Agent an instrument accepting appointment on the terms and conditions of this Agreement and the Issuer shall forthwith give notice of any such appointment to the continuing Agents and the Noteholders, whereupon the Issuer, the continuing Agents and the additional or successor agent shall acquire and become subject to the same rights and obligations between themselves as if they then entered into an agreement in the form mutatis mutandis of this Agreement.
