Adaptive Broadband and Buyer each may by written notice to the other terminate this Agreement:

Adaptive Broadband and Buyer each may by written notice to the other terminate this Agreement (i) If a receiver is appointed for the other party or its property; (ii) if the other party becomes insolvent or unable to pay its debts as they mature in the ordinary course of business or makes an assignment for the benefit of its creditors; (iii) if any proceedings are commenced by or for the other party under bankruptcy, insolvency, or debtor's relief law, and those proceedings will not be vacated or set aside or stayed within sixty (60) days from the date of the commencement thereof; (iv) if the other party is sequestered by any government authority; or (v) if Buyer is liquidated, dissolved, or ceases actively doing business in connection with the Products. In addition, Adaptive Broadband may by written notice terminate this Agreement if it is not satisfied with the sales or promotional performance of Buyer. c. UPON
Adaptive Broadband grants to Buyer a royalty-free, perpetual, and non-exclusive license to sub-license the Software to Buyer's customers and other parties contracting with Buyer for the delivery, of broadband wireless data access, each of which utilizes Products in the Territory and Market in connection with Buyer's wireless communications network services. When granting to customers the right to use Software, Buyer shall incorporate in such sub-license terms that offer no less degree of protection to Adaptive Broadband's (or its licensor's) interest in the Software as those set out in Exhibit D.
Adaptive Broadband will provide to Buyer its standard documentation in Adaptive Broadband's standard forms, formats, and quantities based on the size and scope of the relevant order. Additional copies, and any changes in this documentation required by customization of the Products or software changes made in response to Buyer requests will be at an additional charge.

Related to Adaptive Broadband

  • Network Services Preventive care: 100% coverage. Preventive services include, but are not restricted to routine physical exams, routine gynecological exams, routine hearing exams, routine eye exams, and immunizations. A $100 single and $200 family combined annual deductible will apply to lab/diagnostic testing after which 100% coverage will apply. A $50 copay will apply to CT and MRI scans.

  • Network Management 60.1 CLEC and CenturyLink will exchange appropriate information (e.g., network information, maintenance contact numbers, escalation procedures, and information required to comply with requirements of law enforcement and national security agencies) for network management purposes. In addition, the Parties will apply sound network management principles to alleviate or to prevent traffic congestion and to minimize fraud associated with third number billed calls, calling card calls, and other services related to this Agreement.

  • Voice Services In lieu of any other rates and discounts, Customer will pay fixed per-minute rates ranging from $0.000 to $0.000 for the following Voice Services: Domestic Voice Service: Domestic Outbound Voice Service, including Calling Card and Domestic Inbound Voice Service based on origination and termination type.   • COMMUNICATION SERVICES 1. Employee communications describing available investment options, including multimedia informational materials and group presentations.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are in the SLA. The remedies above are Customer’s sole remedies for breach of the warranties in this section. Customer waives any breach of warranty claims not made during the warranty period.

  • Availability of Verizon Telecommunications Services 3.1 Verizon will provide a Verizon Telecommunications Service to Reconex for resale pursuant to this Attachment where and to the same extent, but only where and to the same extent, that such Verizon Telecommunications Service is provided to Verizon’s Customers.

  • Optional Services To the extent that the Fund elects to engage the Transfer Agent to provide the services listed below the Fund shall engage the Transfer Agent to provide such services upon terms and fees to be agreed upon by the parties:

  • Verizon OSS Services Access to Verizon Operations Support Systems functions. The term “Verizon OSS Services” includes, but is not limited to: (a) Verizon’s provision of Reconex Usage Information to Reconex pursuant to Section 8.1.3 below; and, (b) “Verizon OSS Information”, as defined in Section 8.1.4 below.

  • Purchase Order Flip via Ariba Network (AN) The online process allows suppliers to submit invoices via the AN for catalog and non- catalog goods and services. Contractors have the ability to create an invoice directly from their Inbox in their AN account by simply “flipping” the purchase order into an invoice. This option does not require any special software or technical capabilities. For the purposes of this section, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider of MFMP the right and license to use, reproduce, transmit, distribute, and publicly display within the system the information outlined above. In addition, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider the right and license to reproduce and display within the system the Contractor’s trademarks, system marks, logos, trade dress, or other branding designation that identifies the products made available by the Contractor under the Contract.
