Common use of Actual Knowledge of Seller Clause in Contracts

Actual Knowledge of Seller. All references in this Agreement to the “actual knowledge” or “knowledge” of Seller shall refer only to the actual knowledge of the Designated Employee (as hereinafter defined) of the Dallas, Texas office of Seller and shall not be construed to refer to the knowledge of any other officer, agent or employee of Seller or any affiliate of Seller or to impose upon such Designated Employee any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains. As used herein, the term “Designated Employee” shall refer to Xxxx Xxxxx, an employee of Seller who has responsibility for overseeing the management of the Property, among other assets of Seller.

As used herein, the term “Designated EmployeeEmployees” shall refer to Xxxx XxxxxXxxxx Xxxxxxx, an employee of Seller who has responsibility for overseeing the management of the Property, among other assets of SellerSeller and Xxxxxx Xxxxxxxx, the property manager of the Property.
