Actions; Legality Clause Samples
The "Actions; Legality" clause establishes that all actions taken under the agreement must comply with applicable laws and regulations. In practice, this means that each party is responsible for ensuring their conduct, decisions, and performance of obligations do not violate any legal requirements, such as obtaining necessary permits or adhering to industry standards. Actions; Legality. There shall be no (i) Legal Proceeding of any kind or nature pending or overtly threatened by any Governmental Entity or (ii) material private Legal Proceeding pending, in either case against (A) Acquirer or any of its Affiliates, or against the Company or any of its Affiliates, preventing or challenging the consummation of the Merger or the other Transactions, or (B) that is or may be otherwise material to the business, financial condition or operations of the Company. The consummation of the Transactions shall be permitted by Applicable Law to which Acquirer, Merger Sub and the Company is subject.
