Actions by ▇. ▇▇▇▇▇ with respect to the Score One Shares. From the Closing Date and until the Payment Date, without the consent of the Good Step Shareholders, ▇.▇▇▇▇▇ shall not voluntarily or involuntarily sell, assign, transfer (by gift or otherwise), pledge, hypothecate, grant a participation interest or other disposition or conveyance of legal or beneficial interest, directly or indirectly, whether in one transaction or in a series of related transactions in any shares of Score One owned by it.
