Common use of Action Clause in Contracts

Action. Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Documents to which it is a party; the execution, delivery and performance by Seller of each of the Facility Documents to which it is a party have been duly authorized by all necessary corporate or other action on its part; and each Facility Document to which it is a party has been duly and validly executed and delivered by Seller.

Action. Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Program Documents to which it is a party; the execution, delivery and performance by Seller of each of the Facility Program Documents to which it is a party have has been duly authorized by all necessary corporate or other action on its part; and each Facility Program Document to which it is a party has been duly and validly executed and delivered by Seller and constitutes a legal, valid and binding obligation of Seller, enforceable against Seller in accordance with its terms.

Action. The Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Program Documents to which it is a party; the execution, delivery and performance by the Seller of each of the Facility Program Documents to which it is a party have has been duly authorized by all necessary corporate or other action on its part; and each Facility Program Document to which it is a party has been duly and validly executed and delivered by the Seller and constitutes a legal, valid and binding obligation of the Seller, enforceable against the Seller in accordance with its terms.

Action. Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Documents to which it is a partyDocuments, as applicable; the execution, delivery and performance by Seller of each of the Facility Documents to which it is a party have been duly authorized by all necessary corporate or other action on its part; and each Facility Document to which it is a party has been duly and validly executed and delivered by Seller.

Action. Each Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Documents to which it is a party; the execution, delivery and performance by each Seller of each of the Facility Documents to which it is a party have been duly authorized by all necessary corporate or other action on its part; and each Facility Document to which it is a party has been duly and validly executed and delivered by Sellereach Seller and constitutes a legal, valid and binding obligation of each Seller enforceable against each Seller in accordance with its terms.

Action. Action. The Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations hereunder and under each of the Facility Loan Documents to which it is a party; the execution, delivery and performance by the Seller of this Agreement and each of the Facility Loan Documents to which it is a party have has been duly authorized by all necessary corporate or other action on its part; and this Agreement and each Facility Loan Document to which it is a party has been duly and validly executed and delivered by the Seller and constitutes a legal, valid and binding obligation of the Seller, enforceable against it in accordance with its terms.

Action. Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Repurchase Documents to which it is a party, as applicable; the execution, delivery and performance by Seller of each of the Facility Repurchase Documents to which it is a party have been duly authorized by all necessary corporate or other action on its part; and each Facility Repurchase Document to which it is a party has been duly and validly executed and delivered by SellerSeller and constitutes a legal, valid and binding obligation of Seller enforceable against Seller in accordance with its terms.

Action. Seller has all necessary corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Documents to which it is a party; the execution, delivery and performance by Seller of each of the Facility Documents to which it is a party have been duly authorized by all necessary corporate or other action on its part; and each Facility Document to which it is a party has been duly and validly executed and delivered by Seller.48

Action. Seller has all necessary limited liability company, corporate or other power, authority and legal right to execute, deliver and perform its obligations under each of the Facility Program Documents to which it is a party; the execution, delivery and performance by Seller of each of the Facility Program Documents to which it is a party have has been duly authorized by all necessary corporate or other action on its part; and each Facility Program Document to which it is a party has been duly and validly executed and delivered by Seller and constitutes a legal, valid and binding obligation of Seller, enforceable against Seller in accordance with its terms.

Action.
