Common use of ACTION AUTHORIZED Clause in Contracts

ACTION AUTHORIZED. The Company has taken all actions necessary to authorize it to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. This Agreement has been duly executed and delivered by the Company and constitutes a legal, valid and binding obligation of the Company, enforceable in accordance with its terms. The Shares, when issued and delivered in accordance with the terms hereof, will be duly and validly issued, fully paid and nonassessable.
