Acquisitions; Mergers; Sale of Assets. Without the prior written consent of Lender, which consent shall not be unreasonably withheld, conditioned or delayed, Borrower shall not, and shall cause Bank to not, directly or indirectly, (i) merge into, engage in a share exchange in which it is not an acquiring party or consolidate with, any Person, or (ii) lease, sell or otherwise dispose of all, or substantially all, of its property, assets and business.
