Acquiror Delivery. Acquiror shall deliver to the Company, at or prior to the Closing the certificate set forth in Section 6.2. * Confidential treatment requested.
Acquiror Delivery. Acquiror shall deliver to the Company, at or prior to the Closing, a certificate, dated as of the Closing Date, executed on behalf of Acquiror by a duly authorized officer of Acquiror to the effect that each of the conditions set forth in clause (a) of Section 7.2 has been satisfied.
