Acquirer to pay Consideration. The Acquirer undertakes in favour of the Company (in its own right and on behalf of the Scheme Shareholders) to, in consideration for and simultaneously with the transfer to the Acquirer (or, if nominated under clause 2.8, the Acquirer Nominee) of each Scheme Share from each Scheme Shareholder under the terms of the Scheme, pay (or procure the payment of) the Consideration to each Scheme Shareholder in accordance with the Scheme and the Deed Poll.
