Common use of Acknowledgment of Discharge by Trustee Clause in Contracts

Acknowledgment of Discharge by Trustee. Subject to Section 8.11, after (a) the conditions of Section 8.01, 8.04 or 8.05 have been satisfied, (b) the Issuers have paid or caused to be paid all other sums payable hereunder by the Issuers and (c) the Issuers have delivered to the Trustee in accordance with Section 12.02 an Officers’ Certificate and an Opinion of Counsel, each stating that all conditions precedent referred to in clause (a) above relating to the satisfaction and discharge of this Indenture have been complied with, the Trustee upon written request shall acknowledge in writing the discharge of all of the Issuers’ obligations under this Indenture except for those surviving obligations specified in this Article 8.

Subject to Section 8.11SECTION 8.07, after (ai) the conditions of Section 8.01, 8.04 SECTION 8.01 or 8.05 8.02 have been satisfied, (bii) the Issuers have paid or caused to be paid all other sums payable hereunder by the Issuers and (ciii) the Issuers have delivered to the Trustee in accordance with Section 12.02 an Officers’ ' Certificate and an Opinion of Counsel, each stating that all conditions precedent referred to in clause CLAUSE (ai) above relating to the satisfaction and discharge of this Indenture have been complied with, the Trustee upon written request shall acknowledge in writing the discharge of all of the Issuers’ ' obligations under this Indenture except for those surviving obligations specified in this Article 8SECTION 8.03.

Subject to Section 8.118.07, after (a) the conditions of Section 8.01, 8.04 8.01 or 8.05 Section 8.02 have been satisfied, (b) the Issuers have paid or caused to be paid all other sums payable hereunder by the Issuers and (c) the Issuers have delivered to the Trustee in accordance with Section 12.02 an Officers’ Certificate and an Opinion of Counsel, each stating that all conditions precedent referred to in clause (a) above relating to the defeasance or satisfaction and discharge of this Indenture have been complied with, the Trustee Trustee, upon written request request, shall acknowledge in writing the discharge of all of the Issuers’ obligations under this Indenture except for those surviving obligations specified in this Article 8Section 8.03 and the Trustee shall execute and deliver to the Issuers any document reasonably requested by the Issuers to effect or evidence any release and discharge of any Lien or Collateral Document contemplated by Section 12.05.
