Common use of Acknowledgment of Continuing Obligation Clause in Contracts

Acknowledgment of Continuing Obligation. The Company will, at the time of any exercise of this Warrant in whole or in part, upon request of the holder hereof, acknowledge in writing its then continuing obligation to such holder in respect of any rights pursuant to this Warrant (including, without limitation, any right to registration, if any, of the shares of Common Stock issued upon such exercise) to which such holder shall continue to be entitled after such exercise in accordance with this Warrant; PROVIDED, HOWEVER, that the failure of such holder to make any such request shall not affect the continuing obligation of the Company to such holder in respect of such rights.

Acknowledgment of Continuing Obligation. The Company will, at the time of any exercise of this Warrant in whole or in part, upon request of the holder hereof, acknowledge in writing its then their continuing obligation to such holder in respect of any rights pursuant to this Warrant (includingSections 3, without limitation5, any right to registration, if any, 6(d) and 6(e) hereof and Sections 5 and 6.9 of the shares of Common Stock issued upon such exercise) Warrant Agreement to which such holder shall continue to be entitled after such exercise in accordance with this Warrant; PROVIDED, HOWEVER, that the failure of such holder to make any such request shall not affect the continuing obligation obligations of the Company to such holder in respect of such rights.
