Acknowledgement Regarding Buyers’ Trading Activity. Anything in this Agreement or elsewhere herein to the contrary notwithstanding, it is understood and acknowledged by the Company that Buyer has neither been asked to agree, nor has Buyer agreed, to desist from purchasing or selling long securities of the Company, including, without limitation, during the periods that the value of the Drawdown Shares deliverable in connection with a Drawdown are being determined. The Company acknowledges that such aforementioned activities do not constitute a breach of any of the Transaction Documents.
