Access to Subcontractors Clause Samples
Access to Subcontractors. If with the Director's approval the Contractor subcontracts any portion of the services under this Contract, the Contractor must include in any such subcontract a provision that allows full and unimpeded access by the BOE, the SED and/or the New York City Office of the Comptroller to the books and records of a subcontractor for inspection, audit and copying purposes. The Contractor does hereby agree and warrant to render all necessary assistance to obtain any requested documents from subcontractors. The Contractor's inability to obtain requested documentation from any subcontractors shall not excuse a failure to provide the documentation as a means to justify payment increases.
Access to Subcontractors. Supplier shall exercise commercially reasonable efforts to require all Supplier subcontractors for which Customer’s consent is required under Section 9.4 to comply with the applicable provisions of this Section 9.9 by insertion of the requirements hereof in a written agreement between Supplier and each Supplier subcontractor. Supplier shall notify Customer in advance of executing any such subcontract that does not contain these requirements.
Access to Subcontractors. The Supplier must ensure that each Subcontractor meets with the Principal or Customer, as and when reasonably required by the Principal or the Customer, for the purposes of discussing those parts of the Services being provided by the Subcontractor. The Principal may, where practicable in the circumstances, provide reasonable notice to the Supplier of the intention of the Principal or the Customer intention to meet with a Subcontractor. The Principal may, in its absolute discretion, invite the Supplier to participate in the discussions with the Subcontractor or alternatively meet with the Subcontractor by itself.
