Access to Specified Supplier. Applera agrees to use commercially reasonable efforts to facilitate Celera access to the Specified Supplier for the purpose of development and commercialization of products under the Kauai Project. (i) In the event that Celera is legally required to source products resulting from the Kauai Project directly from the Specified Supplier, it shall be permitted to do so, and in such event Applera shall be entitled to receive compensation from Celera in an amount equal to the amount of incremental proceeds Applera would have received had the products been sourced directly from it. The amount of such incremental proceeds would be calculated in accordance with the provisions of the Kauai Agreement.
