Acceptance Time. The amendments to the Indenture, the Security Agreement and the Deed of Trust and Security Agreement specified in this Article II shall become effective at such time, and only at such time, as Notes are accepted for purchase by the Company pursuant to the Company’s offer to purchase for cash the outstanding Notes upon the terms and conditions set forth in the Offer to Purchase and Consent Solicitation Statement dated March 1, 2007 as it may be amended or supplemented from time to time.
