Acceptance Letters. The Agent shall have received letters of ------------------ acceptance in respect of the Guarantee Agreements, in substantially the form of Schedules 4.3.1 and 4.3.2 attached hereto.
Acceptance Letters. At the Effective Time, each Equityholder (other than any Dissenting Unitholder) shall be entitled to receive that portion of the Merger Consideration payable to it, determined in accordance with Schedule 2.03, upon delivery to the Company of a duly executed Acceptance Letter accompanied by a certificate representing such Units, to the extent issued. Payment to the Equityholders for such Units shall be made directly by the Equityholders’ Representative in accordance with Section 2.05 or pursuant to the Escrow Agreement.
Acceptance Letters.
