Acceptance and Register. Upon its receipt of a duly completed Assignment and Assumption executed by an assigning Lender and an Assignee, the Assignee’s completed administrative questionnaire (unless the Assignee shall already be a Lender hereunder), together with (x) any processing and recordation fee and (y) any written consents to such assignment required by this Section 12.04, (I) with respect to Term Loans and Term Loan Commitments, the Administrative Agent shall promptly accept such Assignment and Assumption and record the information contained therein in the Term Loan Register and (II) with respect to Revolving Loans and Revolving Commitments, the Revolving Agent shall promptly accept such Assignment and Assumption and record the information contained therein in the RCF Register. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Term Loan Register or RCF Register, as applicable, as provided in this paragraph.
