Common use of Acceptance 2 Clause in Contracts

Acceptance 2. 3.1. Odbiór‌ (a) Customer shall accept Services when Service Provider has essentially rendered Services in a correct and complete manner as well as free of defects. Acceptance may not be refused by Customer by reason of trivial defects. The acceptance testing has to be carried out within the period agreed by Parties or – if no such agreement has been reached – within 14 days, upon Service Provider’s request. Acceptance shall be declared in writing or via e-mail. (b) Acceptance of Services shall also be deemed to have been declared if Customer expresses its approval of Services in some other manner, e.g. by using Services in productive operations or by failing to reply to a request for acceptance by Service Provider within reasonable time (in the absence of agreement, longer than 14 days) or accepting the (partial) Service by the corresponding payments in accordance with Statement Of Work. (c) Service Provider may demand that Customer accepts definable components of Services that can be independently assessed and tested without the remaining parts (partial acceptance). By making such partial acceptance, Customer accepts the respective part of Services concerned. Subsequent acceptance procedures will only determine whether the accepted component of Services works in conjunction with Services in other areas of Project. The outcome of the final acceptance procedure does not affect any partial acceptance. (a) Klient dokona odbioru usług, o ile dostawca usług co do zasady świadczył usługi w sposób prawidłowy i kompletny, a także wolny od wad. Klient nie może odmówić odbioru ze względu na wady nieistotne. Testy akceptacyjne zostaną przeprowadzone w terminie uzgodnionym przez strony lub – w przypadku braku dokonania uzgodnień – w ciągu 14 dni po zgłoszeniu żądania przez dostawcę usług. Odbiór zostanie dokonany na piśmie lub za pośrednictwem poczty elektronicznej. (b) Odbiór usług uważa się również za dokonany, jeśli klient wyrazi akceptację usługi w inny sposób, np. poprzez wykorzystanie usług w działalności produkcyjnej lub poprzez brak odpowiedzi na wezwanie przez dostawcę usług do odbioru we właściwym terminie (w przypadku braku uzgodnienia terminu, po upływie co najmniej 14 dni) lub akceptację (części) usługi poprzez dokonanie odpowiedniej płatności zgodnie z Zestawieniem prac. (c) Dostawca usług może żądać, aby klient dokonał odbioru zdefiniowanych komponentów usług, które mogą być niezależnie oceniane i przetestowane bez pozostałych części (odbiór częściowy). Dokonując takiego odbioru częściowego, klient dokonuje odbioru odpowiedniej część danych usług. Kolejne procedury odbioru będę jedynie ustalać, czy odebrana część usług działa w połączeniu z innymi usługami w innych obszarach projektu. Wynik końcowej procedury odbioru nie ma wpływu na odbiór częściowy.
