Common use of Absence of Other Voting Agreements Clause in Contracts

Absence of Other Voting Agreements. No Shareholder is party to, and the Subject Shares are not otherwise subject to, any agreement, arrangement or other understanding (i) that would constitute a breach of Section 1.1 if entered into during the Covered Period or (ii) that would reasonably be expected to materially delay, impair or restrict the Shareholder’s ability to perform its obligations under this Agreement.

Absence of Other Voting Agreements. No Shareholder Other than the Stockholder’s Agreement, the Stockholder is not a party to, and the Subject Shares are not otherwise subject to, any agreement, arrangement or other understanding (i) that would constitute a breach of Section 1.1 if entered into during the Covered Voting Period or (ii) that would reasonably be expected to materially delay, impair or restrict the ShareholderStockholder’s ability to perform its obligations under this Agreement.

Absence of Other Voting Agreements. No Shareholder Stockholder is a party to, and the Subject Shares are not otherwise subject to, any agreement, arrangement or other understanding (i) that would constitute a breach of Section 1.1 or Section 1.2 if entered into during the Covered Voting Period or (ii) that would reasonably be expected to materially delay, impair or restrict the Shareholderany Stockholder’s ability to perform its obligations under this Agreement.

No Shareholder Except as provided in this Agreement, such Stockholder is not a party to, and the its Attributed Subject Shares are not otherwise subject to, any agreement, arrangement or other understanding (ia) that would constitute a breach of Section 1.1 if entered into during the Covered Period or (iib) that would reasonably be expected to materially delay, impair or restrict the Shareholdersuch Stockholder’s ability to perform its obligations under this Agreement.
