Absence of Litigation or Adverse Matters. Except as otherwise disclosed to the Buyers or as would not have or would not reasonably be expected to have a Material Adverse Effect: (i) there is no Proceeding before or by any Governmental Authority or any other Person, pending, or to the knowledge of the Company, threatened or contemplated by, against the Company, its business or Assets; (ii) there are no outstanding Judgments against the Company, its business or Assets; and (iii) the Company is not in breach or violation of any Contract.
