Absence of Financing Statements, etc. Except with respect to Permitted Liens, there is no effective financing statement, security agreement, chattel mortgage, real estate mortgage or other document filed or recorded with any filing records, registry, or other public office, which purports to cover, affect or give notice of any present or possible future lien on, or security interest in, any assets or property of any Borrower, or any rights relating thereto, other than financing statements covering assets acquired in acquisitions permitted under ss.8.4.1 for which the Borrowers are in the process of obtaining termination statements or amendments releasing the acquired assets covered thereunder, provided that the Borrowers have evidence in each case that the obligations secured by such liens have been discharged.
