Absence of Certain Business Practices. Seller has not, nor has any employee, agent or other person acting on Seller's behalf, directly or indirectly, given or agreed to give any gift or similar benefit to any customer, supplier, competitor or governmental employee or official (domestic or foreign) that would subject Seller to any damage or penalty in any civil, criminal or governmental litigation or proceeding.

Except as disclosed on Schedule 4.18, neither Seller has not, nor has any employee, agent or other person acting on Seller's behalfbehalf of Seller has, directly or indirectly, given or agreed to give any gift or similar benefit to any customer, supplier, competitor or governmental employee or official (domestic or foreign) related to the Business that would subject Seller to any damage or penalty in any civil, criminal or governmental litigation or proceeding.
