Absence of Certain Business Practices. Neither Company nor any officer, employee or agent of the Companies has, directly or indirectly, within the past five years, given or agreed to give any gift or similar benefit to any customer, supplier, government employee or other Person who is or may be in a position to help or hinder the business of the Companies (or to assist the Companies in connection with any actual or proposed transaction) which (i) might subject the relevant Company to any damage or penalty in any civil, criminal, or governmental litigation or proceeding, (ii) if not given in the past, might have had a Material Adverse Effect on the assets, business, or operations of the relevant Company as reflected in the Financial Statements, or (iii) if not continued in the future, might materially adversely effect the assets, business operations or prospects of the relevant Company or which might subject the relevant Company to suit or penalty in a private or governmental litigation or proceeding. The Company has not violated the Foreign Corrupt Practices Act
