Absence of a quorum Sample Clauses

The "Absence of a quorum" clause defines the procedures and consequences when the minimum number of members required to conduct official business at a meeting is not present. Typically, this clause outlines what constitutes a quorum, what actions (if any) can be taken in its absence, and may specify whether the meeting must be adjourned or rescheduled. For example, if a board meeting requires at least half the members to be present and only a few attend, the meeting cannot proceed with official decisions. This clause ensures that decisions are made only when adequate representation is present, thereby protecting the legitimacy and fairness of the organization's governance process.
