ABLE'S RELATED UNDERTAKINGS. Able, but not Davidson, as a condition of this Agreement, within 20 business days of the execution of this Agreement, will obtain and provide documentary verification to Sirit of each of the following, among others (see Section XI): (a) written agreements from MCI WorldCom, Gide▇▇ ▇▇▇▇▇▇ and the holders of Series B and Series C to vote their common shares in favor of the issuance of the Sirit Shares and any related matters to this Settlement Agreement at the next Able annual shareholder meeting; (b) withdrawal of the Supplemental Compensation arrangement (approved by the Board of Directors on March 31, 2000) from the items to be presented for approval at the next shareholders meeting of the Company; (c) reservation of such amount of authorized but unissued common shares in favor of Sirit to maintain Sirit's then current percentage ownership as discussed in Section II, Paragraphs B.1 and B.2 above in Able upon conversion of all Series C.
