Common use of 8Severability Clause in Contracts

8Severability. If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall continue in full force and effect. The Parties shall negotiate in good faith to substitute a valid, legal, and enforceable provision that reflects the intent of such invalid or unenforceable provision

8Severability. If any provision of this Agreement Agreement, or the application thereof, becomes or is found invalid or unenforceable declared by a court of competent jurisdictionjurisdiction to be illegal, void or unenforceable, the remainder of this Agreement shall continue in full force and effecteffect and shall be interpreted so as reasonably to effect the intent of the Parties. The Parties shall negotiate in good faith use commercially reasonable efforts to substitute replace such void or unenforceable provision of this Agreement with a valid, legal, valid and enforceable provision that reflects shall achieve, to the intent extent possible, the economic, business and other purposes of such invalid void or unenforceable provision.

If In the event that any provision of this Agreement is found determined to be illegal, invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall continue remain in full force and effecteffect without said provision. The Parties parties shall negotiate in good faith to a substitute a validclause for any provision declared illegal, legalinvalid or unenforceable, and enforceable provision that reflects which shall most nearly approximate the original intent of such invalid or unenforceable provisionthe parties in entering this Agreement.
