6Approvals Clause Samples
6Approvals. Where any indemnification sought pursuant to this Agreement is, pursuant to applicable law, subject to or conditional upon the approval or consent of any court or of any governmental body or regulatory authority, the Company agrees to make or cause to be made all necessary applications and to use its commercially reasonable best efforts to obtain or assist in obtaining or facilitating the obtaining of such approval or consent, at its expense.
6Approvals. All necessary consents, approvals and authorizations of all Governmental Authorities and other Persons required to be obtained by such Party in connection with the execution and delivery of this Agreement, the activities and transactions contemplated by this Agreement, or the performance by such Party of its obligations under this Agreement have been obtained, except (i) in each case, to the extent required to conduct or handover Clinical Trials or to seek or obtain Regulatory Approvals or other applicable Regulatory Documentation and (ii) as set forth in ARTICLE 14;
6Approvals. No consent, order, authorization, waiver, approval or any other action, or registration, declaration or filing with, any person, board or body, public or private is required to be obtained by the Contracting Party in connection with the execution, delivery or performance of this Direct Agreement or the Assigned Agreement or the consummation of the transactions contemplated hereunder or thereunder.
