Common use of 5Withholding Clause in Contracts

5Withholding. Notwithstanding anything in this Agreement to the contrary, Buyer shall be entitled to deduct and withhold from any payment otherwise payable pursuant to this Agreement such amounts as are required to be deducted and withheld under applicable Law and such amounts shall be treated for all purposes under this Agreement as having been paid to the Seller.

5Withholding. Notwithstanding anything in this Agreement to the contrary, Buyer and its Affiliates shall be entitled to deduct and withhold from any payment otherwise payable payments made pursuant to this Agreement and pay over any such amounts as withholding to the applicable Governmental Authority all Taxes that Buyer or its Affiliates are required to be deduct and withhold from such payments under any applicable Law. Any such deducted and or withheld under applicable Law and such amounts shall be treated for all purposes under this Agreement as having been paid delivered to the SellerPerson in respect of which such amount was deducted or withheld.
