5Data Privacy Sample Clauses
The Data Privacy clause establishes the obligations of parties to protect and manage personal or sensitive information in accordance with applicable laws and regulations. It typically requires each party to implement appropriate security measures, restrict access to personal data, and notify the other party in the event of a data breach. This clause is essential for ensuring that confidential or regulated information is handled responsibly, thereby reducing the risk of unauthorized disclosure and legal liability.
5Data Privacy. The Transfer Agent agrees to promptly notify the Fund whenever it becomes aware of any actual unauthorized access to, or acquisition, use, loss, destruction, alteration or compromise of Confidential Information (including, without limitation, Customer Information) of the Fund (“Security Breach”) maintained on Transfer Agent’s computers, hardware, networks or systems, including any third party data centers, or of any Security Breach occurring at any sub-custodian, agent or service provider of the Transfer Agent. The Transfer Agent also agrees to implement commercially reasonable software and other appropriate measures to scan for, detect and prevent the transmission from Transfer Agent’s computers, hardware, networks and systems of any virus, malware, Trojan horse, worm, time bomb, drop dead device, or other malicious code.
5Data Privacy. Each Party shall, and shall cause its relevant Affiliates to, comply with all applicable privacy laws in the course of performing its obligations or exercising its rights under this Agreement. If in connection with this Agreement, a Party obtains access to any personal information or personal data, as defined under any applicable privacy law, or any other data identifying or relating to an individual, including an employee, contractor or customer of the other Party, the first Party shall (a) use such personal information only for the purposes for which such personal information was obtained, to perform its obligations under this Agreement or as otherwise required by applicable privacy law, and (b) comply with all reasonable restrictions on the use, handling and disclosure of such personal information communicated by the other Party. To the extent required by applicable privacy laws, each Party hereby agrees to enter into additional agreements, including data protection agreements, to render access to and processing of such personal information as required under this Agreement lawful.
