3Validity and Enforceability. This Agreement has been duly authorized, executed and delivered by Buyer and constitutes and the other agreements and instruments to be executed and delivered hereunder by Buyer, when executed and delivered by Buyer, will constitute, legal, valid and binding obligations of Buyer enforceable against Buyer in accordance with their respective terms, except as enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium or other laws relating to or affecting the enforcement of creditors' rights generally or by general equitable principles.
