3Indemnification. In the event an Event of Default occurs under this Agreement, the Party in default will, on demand, indemnify and hold harmless the other Parties to this Agreement for and against all reasonable out-of-pocket expenses, including legal fees, and execution fees, incurred by such other Parties by reason of the enforcement and protection of its rights under this Agreement and the ISDA Agreement, including, but not limited to, costs of collection.
