3Inconsistency Clause Samples

3Inconsistency. If there is an inconsistency between provisions in the terms forming part of this agreement, the order of priority for the purposes of construction will be (from highest to lowest): (a) the Funding Rules; (b) any Special Terms of this agreement; (c) Details section of this agreement; (d) the General Terms of this agreement; (e) a schedule of this agreement; (f) an annexure to this agreement.

3Inconsistency. (a) If there is any conflict between the provisions of any Schedule 1 (Elections) and any provisions of this Agreement, the terms of Schedule 1 (Elections) shall prevail. (b) If, in relation to any Transaction, there is any conflict between the Confirmation and any provisions of this Agreement (including Schedule 1 (Elections)), the terms of such Confirmation shall prevail for the purpose of the relevant Transaction.

3Inconsistency. No confirmation, shipment or delivery docket, invoice, terms and conditions of supply or other document issued by or on behalf of a party about or related to the Project will amend this Agreement, except where such amendment is expressly agreed by the parties in accordance with clause 23.6.

3Inconsistency. In the event of inconsistency between any provision of this Cash Management Agreement, the UOB Business Internet Banking Service Agreement including the Channel Agreement and a Service Supplement, the Service Supplement shall prevail, except for the provisions in respect to the use of BIB or other Channels, as the case may be, the UOB Business Internet Banking Service Agreement or the Service Supplement, as the case may be, shall prevail. 9

3Inconsistency. Notwithstanding anything to the contrary contained in any of the Debenture Documents, the provisions of this Agreement shall have an overriding effect over the provisions of the Debenture Documents (except the Inter-Creditor Agreement) and in the event of any conflict/inconsistency between the provisions contained in this Agreement and the provisions contained in the Debenture Documents (except the Inter-Creditor Agreement), the provisions contained in this Agreement shall prevail, to the extent of such inconsistency. The provisions of the Inter-Creditor Agreement shall have an overriding effect over the provisions of this Agreement and in the event of any conflict/inconsistency between the provisions contained in the Inter-Creditor Agreement and the provisions contained in this Agreement, the provisions contained in the Inter-Creditor Agreement shall prevail to the extent of conflict/inconsistency.
