2Other Definitions. The following terms shall have the following meanings ascribed to them for the purposes of this BTA Hong Kong. “Assumed Liabilities” means the liabilities of Seller as set forth in Schedule A. “Purchase Price” has the meaning ascribed to it in Section 2.1. “Transferred Assets” means the assets as set forth in Schedule A. “Transferred Business” means, collectively, the Transferred Assets, Transferred Contracts, Transferred Employees and Assumed Liabilities. “Transferred Contracts” means the contracts as set forth in Schedule A. “Transferred Employees” means the employees as set forth in Schedule A. 1.3Excluded Liabilities and Excluded Assets. In connection with this BTA Hong Kong, the Excluded Assets referred to in Section 9.1 of the Master Agreement means the assets of Seller other than the Transferred Assets, and the Excluded Liabilities referred to therein means the liabilities of Seller (whether known or unknown, express or implied, primary or secondary, direct or indirect, accrued or non-accrued, absolute or contingent or otherwise, whether due or to become due and whether arising before or after the Closing, including indemnification liabilities, product warranty or other contingent liabilities related to products sold to customers) other than the Assumed Liabilities.
