2Notices. All notices, consents, waivers notices and other communications hereunder required or permitted under this Agreement shall be in writing addressed as indicated below, and any communication or delivery hereunder shall be effective deemed to have been duly delivered upon the earliest of: (a) upon actual receipt when by the Party to be notified; (b) if sent by registered or U.S. certified mail, postage prepaid, return receipt requested, postage prepaid, with such receipt to be effective then the date of delivery indicated shown as received on the return receipt, (b) upon receipt when sent by an overnight courier (costs prepaid and receipt requested), notice; (c) on if by email, then upon an affirmative reply by email by the date personally delivered to intended recipient that such email was received (provided that, for the avoidance of doubt, an authorized officer automated response from the email account or server of the Party to which sent intended recipient shall not constitute an affirmative reply); or (d) if by Federal Express overnight delivery (or other reputable overnight delivery service), the date shown on the date transmitted by e-mail with a confirmation notice of receipt, addressed to the recipient delivery.
