2Closing. Subject to Section 20.3, after the Company has received the Minimum Subscriptions, the Company shall accept the offers of, and issue Class A Units to, the Persons whose offers make up the Minimum Subscriptions, following which such Persons shall become Members and the Company may immediately and at any time thereafter withdraw funds deposited in the Segregated Bank Account for the uses of the Company.
