1Development Plan Sample Clauses
1Development Plan. The Parties acknowledge and agree that additional Development will be required to obtain Regulatory Approvals for a Licensed Product in the Territory. After the Effective Date, PTC will conduct the activities related to the Ongoing Clinical Trials, pursuant to a written Development plan and Licensee shall be solely responsible for all other Development activities for the Licensed Compounds and Licensed Products in the Territory pursuant to such Development plan (such plan, the “Development Plan”). The initial Development Plan is attached hereto as Schedule 4.1.1. Without approval of the JDC to amend the Development Plan in accordance with Section 2.1, neither Party will, and will not be obligated or permitted to, conduct any Development activities with respect to a Licensed Compound or Licensed Product not described in the Development Plan unless required by Applicable Law or Regulatory Authority.
1Development Plan. The initial plan for Development activities to be conducted by Licensee (itself or through its Affiliates and the Sublicensees) with respect to the IPI-145 Product during the Term is set forth in Exhibit G (the “Development Plan”). The Development Plan may be updated or amended by Licensee from time to time during the Term; provided that such updated or amended Development Plan shall be sufficient to permit INFI to comply with its obligations under this Agreement and the INK Agreement. Licensee shall provide to INFI any such updated or amended Development Plan concurrently with the delivery of Development reports pursuant to Section 3.3. To the extent that any provision of the Development Plan conflicts with or is inconsistent with the provisions of this Agreement, the provisions of this Agreement shall control.
