Common use of 1Amendments Clause in Contracts

1Amendments. This Agreement and the Plan of Arrangement may, at any time and from time to time before or after the holding of the Company Meeting but not later than the Effective Time, be amended by mutual written agreement of the Parties, and any such amendment may, subject to the Interim Order and the Final Order and Law, without limitation: (1) change the time for performance of any of the obligations or acts of the Parties; (2) modify any representation or warranty contained in this Agreement or in any document delivered pursuant to this Agreement; (3) waive compliance with or modify any inaccuracies or any of the covenants contained in this Agreement and waive or modify performance of any of the obligations of the Parties; and/or (4) waive compliance with or modify any mutual conditions contained in this Agreement, provided that such modification or amendment does not invalidate the approval of the Arrangement Resolution by the Company Shareholders.
