03Scope. Executive will devote substantially all of his business time, attention, skills and efforts to the performance of his duties. Executive acknowledges that his duties and responsibilities require Executive’s full-time business efforts and agrees to not engage in any other business activity or interests which materially interfere or conflict with the performance of Executive’s duties. Notwithstanding the foregoing, Executive may (a) without obtaining approval of the Board, serve on all outside boards of directors on which he serves as of the Effective Date, plus one for profit corporate board that does not compete with the Company, (b) upon receipt of prior written approval by the Board, serve on any other for profit corporate boards that do not compete with the Company, (c) serve on civic or charitable boards or committees of entities that do not compete with the Company, (d) deliver a reasonable number of lectures or fulfill speaking engagements, or (e) manage personal investments, so long as such activities do not significantly interfere with the performance of Executive’s duties and so long as Executive does not own more than five percent (5%) of the voting stock of any publicly held corporation.
