02Closing. The closing of the Bank Merger will take place immediately following the Merger or at such other time and date as Bar Harbor Bankshares may determine in its sole discretion, but in no case prior to the date on which all of the conditions precedent to the consummation of the Bank Merger specified in this Agreement shall have been satisfied or duly waived by the party entitled to satisfaction thereof, at such place as is agreed by the parties hereto.
