Amendment to Section 7.01. Section 7.01 of the Credit Agreement shall be amended to (a) delete the word “and” at the end of clause (u) thereof, (b) amend and restate the “.” at the end of clause (v) thereof with “;” and (c) insert a new clause (w) which shall read in full as follows:
Amendment to Section 7.01. Clauses (s) and (x) of Section 7.01 of the Credit Agreement are hereby amended and restated in their entirety to read as follows:
Amendment to Section 7.01. Section 7.01 is hereby amended by restating paragraph (h) in its entirety to read as follows:
Amendment to Section 7.01. Section 7.01 of the Merger Agreement is hereby amended by adding the following new paragraph (g) at the end of Section 7.01:
Amendment to Section 7.01. Section 7.01 of the Merger Agreement is hereby amended by replacing the references to “Company Stockholder Approval” in the first sentence of Section 7.01, Section 7.01(b)(iii) and Section 7.01(f) with “Requisite Stockholder Approvals.”
Amendment to Section 7.01. Section 7.01 of the Agreement is hereby amended to add the following clause (e):
Amendment to Section 7.01. Section 7.01 of the Credit Agreement shall be amended by deleting the “and” following clause (h) thereof, deleting the “.” following clause (i) thereof and replacing it with “; and” and adding the following clause (j) thereto: ”(j) Indebtedness of the Parent or any of its Subsidiaries incurred solely in connection with the UBS Demand Line in an aggregate principal amount not to exceed $76,500,000.”
Amendment to Section 7.01. Section 7.01 is hereby amended by deleting Section 7.01(f) in its entirety and substituting the following in its stead:
Amendment to Section 7.01. Section 7.01 is amended by replacing the text of clause (j) with "[RESERVED]".
Amendment to Section 7.01. (a) Section 7.01 of the Credit Agreement is hereby amended by deleting from paragraph (h) thereof the phrase “Original Closing Date” each time such phrase appears therein and substituting therefor each such time the phrase “First Amendment Effective Date”.
