Latvijas Universitātes Cietvielu fizikas institūts (turpmāk tekstā – LU CFI), direktora Xxxxxxx Xxxxx personā, kurš rīkojas pamatojoties uz Latvijas Universitātes Cietvielu fizikas institūta nolikumu (apstiprināts ar Ministru kabineta 2013. gada 19. augusta rīkojumu Nr. 380), turpmāk – Pasūtītājs, no vienas puses, un SIA Mediq Latvija, reģistrācijas Nr.40103295181, kuras vārdā un interesēs, pamatojoties uz pilnvaru Nr.2-03/04/2018, darbojas tās direktore Xxxxxxx Xxxxxxxxx, turpmāk – Piegādātājs, no otras puses, abi kopā saukti Puses, bet katrs atsevišķi saukti arī kā Puse, saskaņā ar atklāta konkursa “Augstas temperatūras tuneļkrāsns piegāde”, ar identifikācijas Nr. LU CFI 2018/46/ERAF, rezultātiem, bez maldības, viltus un spaidiem noslēdz šādu līgumu, par turpmāk minēto:

Institute of Solid State Physics of the University of Latvia (hereinafter – ISSP UL), duly represented by Xxxxxxx Xxxxxx, the Director, acting pursuant to the Regulations of the Institute of Solid State Physics of the University of Latvia (approved by the Cabinet Order No. 380 of 19 August 2013), hereinafter – the Contracting Authority, and SIA Mediq Latvija, registration No 40103295181, duly represented by Director Xxxxxxx Xxxxxxxxx, acting on behalf and in the interests thereof pursuant to the power of attorney No.2-03/04/2018, hereinafter – the Supplier, hereinafter collectively referred to as the Parties and each individually as the Party. Therefore, there parties hereto hereby, according to the results of the Public Procurement “Supply of the high temperature tube furnace“ with identification No. LU CFI 2018/46/ERAF, without fraud, deceit or duress agree as follows:

1. Definīcijas 1.1. Akts - akts, kas apliecina, ka tiek konstatēti Preces Defekti. 1.2. Defekti – Piegādes, Preces apjomu vai kvalitātes neatbilstība Latvijas Republikas normatīvajiem aktiem, Tehniskajam piedāvājumam vai Līgumam. 1.3. Iepirkuma procedūra – atklāts konkurss “Augstas temperatūras tuneļkrāsns piegāde”, ar identifikācijas Nr. LU CFI 2018/46/ERAF. 1.4. Līgums – šis līgums ar visiem tā pielikumiem, iespējamajiem papildinājumiem un grozījumiem. 1.5. Līguma summa – maksimāli iespējamā maksa par Preču Piegādi Līgumā noteiktajā kārtībā un apmērā ar PVN.

1. Definitions 1.1. Xxxx – a deed that certifies that Defects are found in the Goods. 1.2. Defects – non-compliance of the supply, quantity or quality of the Goods with the laws and regulations of the Republic of Latvia, the Technical Proposal or the Contract. 1.3. Procurement Procedure – public procurement “Supply of the high temperature tube furnace “ with identification No. LU CFI 2018/46/ERAF. 1.4. Contract – this contract will all the annexes, potential additions and amendments thereto. 1.5. Contract Price – the maximum possible price for the Supply of the Goods under the procedure and in the amount laid down in the Contract, including VAT.

1.6. Nolikums – Xxxxxxxxx procedūras nolikums ar visiem tā pielikumiem, papildinājumiem, precizējumiem un grozījumiem. 1.7. Pārstāvis - Pasūtītāja vai Piegādātāja pilnvarota persona, kas Līguma ietvaros kontrolēs līgumsaistību izpildi, pieņems vai nodos Preci. 1.8. Prece – Augstas temperatūras tuneļkrāsns, kas atbilst iepirkumu procedūrā izvirzītajām tehniskās specifikācijas prasībām un Piegādātāja piedāvājumam. Ja Iepirkuma procedūrā Pasūtītājs, ņemot vērā tam pieejamo finansējumu, noteicis sev tiesības izvēlēties Precei piedāvātās opcijas (papildus iekārtas/aprīkojumu), ar terminu Prece saprot arī tai pievienotās opcijas, ko Pasūtītājs izvēlējies, precizējot arī Līguma 3.1. punktā noteikto līgumcenas sadalījumu. Preces termins var tikt precizēts. 1.9. Piegāde - Preces piegāde un uzstādīšana saskaņā ar Līguma noteikumiem. 1.10. Pavadzīme - normatīvajiem aktiem atbilstoša pavadzīme, ko Piegādātājs iesniedz Pasūtītājam par Preču Piegādi Līgumā noteiktajā kārtībā. 1.11. PVN – pievienotās vērtības nodoklis. 1.12. Projekts - Eiropas Savienības Reģionālās attīstības fonda darbības programmas "Izaugsme un nodarbinātība" 1.1.1. specifiskā atbalsta mērķa "Palielināt Latvijas zinātnisko institūciju pētniecisko un inovatīvo kapacitāti un spēju piesaistīt ārējo finansējumu, ieguldot cilvēkresursos un infrastruktūrā" 1.1.1.4. pasākuma "P&A infrastruktūras attīstīšana viedās specializācijas jomās un zinātnisko institūciju institucionālās kapacitātes stiprināšana" īstenošanas noteikumi” ietvaros veikts projekts nr. Nr.:0.0.0.0/00/X/000 „Latvijas Universitātes Cietvielu fizikas institūta pētniecības infrastruktūras attīstība”. 1.13. vienskaitlis (pēc nepieciešamības) ietvers arī daudzskaitli un otrādi; lietvārds, lietots sieviešu dzimtē, (pēc nepieciešamības) ietvers arī vīriešu dzimti un otrādi.

1.6. Regulations – regulations of the Procurement Procedure with all the annexes, additions, adjustments, and amendments thereto. 1.7. Representative – the person authorized by the Contracting Authority or the Supplier who shall monitor the fulfillment of obligations under the Contract, and accept and deliver the Goods within the framework of the Contract. 1.8. Goods – High temperature tube furnace, that meets the requirements of the technical specification stipulated in the Procurement Procedure and corresponds to the Supplier's proposal. Should the Contracting Authority considering the available funding has determined its own right to choose between the options offered for the Goods (additional equipment) in the Procurement Procedure, the term Goods shall also apply to the added options the Contracting Authority has chosen and the distribution of the Contract Price stipulated in Paragraph 3.1 of the Contract shall be adjusted. The term Goods may be adjusted. 1.9. Supply – delivery and installation of the Goods according to the terms and conditions of the Contract. 1.10. Waybill – a waybill consistent with the laws and regulations issued by the Supplier to the Contracting Authority for the Supply of the Goods under the procedure laid down in the Contract. 1.11. VAT – value-added tax. 1.12. Project – project No. 0.0.0.0/00/X/000 Development of Research Infrastructure of the Institute of Solid State Physics of the University of Latvia implemented within the framework of the Activity 1.1.1.4 Development of the R&D Infrastructure in the Fields of Smart Specialization and Strengthening of Institutional Capacity of Scientific Institutions of the Specific Aid Objective 1.1.1 To increase the research and innovative capacity of scientific institutions of Latvia and the ability to attract external financing, investing in human resources and infrastructure of the Operational Programme of the European Regional Development Fund Growth and Employment. 1.13. Singular (where needed) shall also imply plural and vice versa; in Latvian the feminine form of the noun (where needed) shall also imply the masculine form and vice versa.

2. Līguma priekšmets 2.1. Pasūtītājs pasūta, bet Piegādātājs par Līgumā minēto samaksu piegādā Preci un Pasūtītājs apņemas pirkt, saņemt un apmaksāt Preci Līgumā noteiktajā termiņā, kartībā un apmērā. 2.2. Prece tiek piegādāta atbilstoši Piegādātāja Xxxxxxxxx procedūrā iesniegtam Tehniskajam piedāvājumam (Pielikums Nr.1) un Finanšu piedāvājumam (Pielikums Nr.2), Līguma noteikumiem un Latvijas Republikas normatīvajiem aktiem. 2.3. Piegādātājs garantē, ka Prece atbilst valsts standartiem vai citos normatīvajos aktos noteiktajām Preces kvalitātes un atbilstības prasībām,

2. Subject Matter of the Contract 2.1. The Contracting Authority orders and the Supplier supplies the Goods for the amount stipulated in the Contract and the Contracting Authority undertakes to buy, receive and pay for the Goods under the procedure, within the deadline and in the amount laid down in the Contract. 2.2. The Goods shall be supplied in compliance with the Technical Proposal (Annex 1) and Financial Proposal (Annex 2) submitted by the Supplier in the Procurement Procedure, terms and conditions of the Contract and laws and regulations of the Republic of Latvia. 2.3. The Supplier guarantees that the Goods meet the national standards or the quality and compliance requirements for the Goods laid down in other laws and regulations as well as the information provided by the manufacturer of the Goods (labeling of the Goods, instruction

kā arī Preces izgatavotāja sniegtajai informācijai (Preces marķējums, pievienotā instrukcija, uzglabāšanas noteikumi u.tml.), kā arī garantē, ka tiks piegādātas jaunas, nelietotas Preces orģināliepakojumā.	manual, terms and conditions of storage etc.) as well as guarantees that new, unused Goods will be supplied in their original packaging.
3. Līguma cena un norēķinu kārtība 3.1. Līgumcena par Preci un tās Piegādi ir 36 552.00 EUR (trīsdesmit seši tūkstoši pieci simti piecdesmit divi eiro) bez PVN. Līgumcena visā Līguma darbības laikā nevar tikt pārsniegta. 3.2. Papildus Līgumcenai Pasūtītājs maksā Piegādātājam PVN atbilstoši Latvijas Republikas normatīvajos aktos noteiktajam. 3.3. Piegādātāja Finanšu piedāvājumā (Pielikums Nr.2) iekļautās vienību cenas ir nemainīgas visā Līguma darbības laikā. Pasūtītājs maksā Piegādātājam tikai par faktiski Piegādāto Preci, bet ne vairāk kā 3.1. un 3.2.punktā noteikto summu. 3.4. Līguma summu 90% apmērā Pasūtītājs samaksā 30 (trīsdesmit) dienu laikā pēc Preces piegādi apliecinošas Pavadzīmes parakstīšanas, pārskaitot naudu uz Piegādātāja bankas kontu. Atlikušo Līguma summu 10% apmērā Pasūtītājs samaksā 30 (trīsdesmit) dienu laikā pēc Preces uzstādīšanas un Pasūtītāja apstiprinošu pieņemšanas dokumentu parakstīšanas, pārskaitot naudu uz Piegādātāja bankas kontu. 3.4.1. Pasūtītājs veic Izpildītājam avansa maksājumu līdz 30% no Līgumcenas, ja Izpildītājs iesniedz Pasūtītājam Eiropas Savienībā reģistrētas kredītiestādes vai apdrošināšanas sabiedrības izsniegtu pirmā pieprasījuma avansa atmaksāšanas garantiju, kas ir vienāda ar avansa summu un ir spēkā līdz pilnīgai avansa summas atmaksai. 3.5. Piegādātājs Preču Piegādi Pasūtītāja Pārstāvja norādītajā telpā veic uz sava rēķina un par to Pasūtītājam nav jāmaksā. 3.6. Maksājums skaitās izdarīts brīdī, kad Pasūtītājs veicis maksājumu no sava norēķinu konta. 3.7. Piegādātājs, sagatavojot pavadzīmi, tajā iekļauj informāciju ar pilnu iepirkuma nosaukumu un identifikācijas numuru, Līguma datumu un numuru, Projekta nosaukumu un numuru. Ja Piegādātājs nav iekļāvis šajā Līguma punktā noteikto informāciju pavadzīmē, Pasūtītājam ir tiesības prasīt Piegādātājam veikt atbilstošas korekcijas pavadzīmē un līdz brīdim, kamēr Piegādātājs nav novērsis nepilnības – neapmaksāt Piegādātājam pienākošos summu.	3. Contract Price and Settlement of Accounts 3.1. The Contract Price for the Goods and the Supply thereof shall be 36 552.00 EUR (thirty six thousand five hundred and fifty two euro) excl. VAT. The Contract Price shall not be exceeded throughout the term of the Contract. 3.2. The Contracting Authority shall pay to the Supplier the VAT in addition to the Contract Price as prescribed by the laws and regulations of the Republic of Latvia. 3.3. Prices per unit indicated in the Supplier's Financial Proposal (Annex 2) shall remain unchanged throughout the term of the Contract. The Contracting Authority shall pay the Supplier only for the Goods actually supplied, however, not more than the amount stipulated in Clauses 3.1 and 3.2. 3.4. The Contracting Authority shall pay 90 % of the Contract Price within 30 (thirty) days of singing the Waybill certifying the delivery of the Goods by a wire transfer to the Supplier's bank account. The Contracting Authority shall pay the remaining 10% of the Contract Price within 30 (thirty) days after the Installation of the Goods and the Contracting Authority’s confirmation acceptance documents by wire transfer to the Supplier's bank account. 3.4.1. The Contracting Authority shall pay to the Supplier the advance payment of up to 30% of the Contract price, if the Supplier submits to the Contracting Authority a guarantee for the repayment of the advance payment issued to a Contracting Authority within the framework of a European Union-registered insurance institution, which is equal to the amount of the advance and valid until the full repayment of advance amount. 3.5. The Supplier shall deliver the Goods to the premises indicated by the Supplier's Representative at its own cost and the Contracting Authority shall not pay for the same. 3.6. The payment shall be deemed made at a time when the Contracting Authority makes the payment from its bank account. 3.7. The Waybill drawn up by the Supplier shall contain the information about the full name of the Procurement, identification number, date and number of the Contract, name and number of the Project. In the event that the Supplier fails to indicate on the Waybill the information stipulated above, the Contracting Authority shall have the right to request the Supplier to make the necessary adjustment to the Waybill and refuse to pay the amount due to the Supplier until the said adjustments are made.
4. Preces piegādes noteikumi un termiņi 4.1. Piegādātājs Xxxxxx Xxxxxxx un uzstādīšanu veic ne ilgāk kā 6 (sešu) mēnešu laikā no Līguma parakstīšanas dienas, Preču piegādi iepriekš saskaņojot ar Pasūtītāju.	4. Terms and Conditions and Deadline for Delivery of the Goods 4.1. The Supplier shall deliver and install the Goods within 6 (six) months following the day on which the Contract is signed upon prior agreement on delivery with the Contracting Authority.

4.2. Preces Piegādes adrese ir: Xxxxxxxxx xxxx 0, Xxxx, Xxxxxxx. 4.3. Ne vēlāk kā 5 (piecas) darba dienas pirms attiecīgas Preces vai Preces daļas Piegādes, Piegādātājam ir pienākums saskaņot ar Pasūtītāju Preces piegādes laiku.	4.2. Delivery address of the Goods shall be: Xxxxxxxxx xxx.0, Xxxx, Xxxxxx 4.3. The Supplier shall be obligated to agree on a time of delivery of the Goods with the Contracting Authority at least 5 (five) business days before the delivery of the respective Goods or a part thereof.
5. Preces pieņemšanas kārtība 5.1. Piegādātājs Preces Pasūtītājam nodod kopā ar dokumentāciju, kas satur Preces raksturojumu, īpašības un uzglabāšanas un lietošanas noteikumus (angļu un/vai latviešu valodā). Preces atbilstību pavadzīmē norādītajam Pasūtītājs apstiprina ar savu parakstu uz pavadzīmes. Pie Preces nodošanas tiek pārbaudīts tās atbilstība Pasūtītāja noteiktajām prasībām. 5.2. Pasūtītājs Preces un Piegādes atbilstību Līguma noteikumiem pārbauda 14 (četrpadsmit) dienu laikā pēc Preces uzstādīšanas un pieņemšanas nosacījumu izpildes. Minētajā termiņā Pasūtītājam ir tiesības izteikt pretenzijas par Preces vai Piegādes kvalitātes neatbilstību Līguma noteikumiem un Latvijas Republikas normatīvo aktu prasībām. 5.3. Ja Pasūtītājs konstatē Defektus, tiek noformēts Akts un attiecīga pretenzija nosūtīta Piegādātājam, norādot Defektu būtību. 5.4. Piegādātājs uz sava rēķina novērš konstatētos Defektus Pušu saskaņotajā termiņā, bet ja Puses nespēj vienoties, ne vēlāk kā 10 (desmit) darba dienu laikā pēc Akta saņemšanas dienas. Pēc Defektu novēršanas izdarāma atkārtota Preces un Piegādes pieņemšana, parakstot Pavadzīmi. 5.5. Ja Aktā minētie Defekti radušies Piegādātāja darbības vai bezdarbības rezultātā, izdevumi šo neatbilstību novēršanai pilnībā ir jāapmaksā Piegādātājam.	5. Procedure for Acceptance of the Goods 5.1. The Supplier shall hand over to the Contracting Authority the Goods along with the documentation containing the description and properties of the Goods and instructions for storage and use of the Goods (in English and/or Latvian). The Contracting Authority shall confirm the compliance of the Goods with the Waybill by signing the Waybill. Upon hand-over it shall be examined whether the Goods meet the requirements laid down by the Contracting Authority. 5.2. The Contracting Authority shall examine the compliance of the Goods and the Supply with the terms and conditions of the Contract within 14 (fourteen) days after the fulfillment of the conditions for the installation of the Goods. The Contracting Authority shall have the right to raise claims regarding the compliance of the Goods or the Supply with the terms and conditions of the Contract and the laws and regulations of the Republic of Latvia within the period above. 5.3. In the event that the Contracting Authority finds a Defect a Deed shall be drawn up and the respective claim shall be mailed to the Supplier specifying the essence of the Defect. 5.4. The Supplier shall eliminate the Defects at its own cost within the deadline agreed upon by the Parties, however, should the Parties fail to agree, within 10 (ten) business days of receipt of the Deed. Upon the Defects elimination the Goods and the Supply shall be accepted repeatedly by signing the Waybill. 5.5. Should the Defects indicated in the Deed be caused as a result of the Supplier's act or omission, the Supplier shall cover the costs of eliminating the same in full.
6. Pasūtītāja tiesības un pienākumi 6.1. Pasūtītājs apņemas veikt maksājumu par Preci Līgumā noteiktajā termiņā un apmērā. 6.2. Pasūtītājam ir tiesības pieprasīt un ne vēlāk kā 3 (trīs) darba dienu laikā no Piegādātāja saņemt informāciju par Līguma izpildes gaitu, Piegādes laiku vai apstākļiem, kas varētu kavēt Piegādi.	6. Rights and Obligations of the Contracting Authority 6.1. The Contracting Authority undertakes to pay for the Goods within the deadline and in the amount stipulated in the Contract. 6.2. The Contracting Authority shall have the right to request and within 3 (three) business days receive the information on the progress of implementation of the Contract, the time of delivery or the circumstances that might delay the delivery from the Supplier.
7. Piegādātāja tiesības, pienākumi un garantijas 7.1. Piegādātājam Preču Piegāde jāveic patstāvīgi. 7.2. Piegādātājs apliecina, ka Līguma izpildē tam ir saistoši Nolikumā minētie nosacījumi attiecībā uz Preces Piegādi un garantijas apkalpošanu Preces garantijas laikā.	7. Rights, Obligations, and Guarantees of the Supplier 7.1. The Supplier shall supply the Goods single-handedly. 7.2. The Supplier confirms that the terms and conditions regarding the Supply of the Goods and the warranty services of the Goods throughout the warranty period stipulated in the

7.3. Piegādājot Preci, Piegādātājam ir jāievēro Līguma noteikumi un Pārstāvja tiešie norādījumi un prasības. 7.4. Piegādātājam ir pienākums 3 (trīs) darba dienu laikā pēc Pasūtītāja pieprasījuma rakstveidā sniegt informāciju par Līguma izpildes gaitu, Piegādes laiku vai apstākļiem, kas varētu kavēt Piegādi. 7.5. Piegādātājs garantē Preces kvalitāti un atbilstību Pasūtītāja noteiktajām tehniskajām prasībām.	Regulations shall be binding on the Supplier in the course of implementation of the Contract. 7.3. In the course of supply of the Goods the Supplier shall abide by the terms and conditions of the Contract and direct instructions and requirements of the Representative. 7.4. The Supplier shall be obliged to provide the information on the progress of implementation of the Contract, the time of delivery or the circumstances that might delay the delivery within 3 (three) business days following the Contracting Authority's request. 7.5. The Supplier guarantees the quality and compliance of the Goods with the technical requirements laid down by the Contracting Authority.
8. Preces garantijas nosacījumi 8.1. Piegādātājs apliecina, ka Līguma izpildē tam ir saistoši Nolikumā un Tehniskajā piedāvājumā minētie nosacījumi attiecībā uz Preces garantijas apkalpošanu un Preces ražotāja garantijas nosacījumi visā Preces garantijas laikā. 8.2. Precēm to ekspluatācijas vietā garantijas laiks un garantijas nosacījumi stājas spēkā no Pavadzīmes abpusējas parakstīšanas dienas un ir spēkā 12 (divpadsmit) mēnešus vai kā norādīts tehniskajā specifikācijā. 8.3. Piegādātājam ir pienākums Preces garantijas laikā bez maksas piegādāt visus Preces ražotāja izdotos Preces programmatūras jauninājumus, ja tādi Precei ir paredzēti, veikt garantijas servisa apkalpošanu. 8.4. Defektus var pieteikt pa tālruni 67802475 ( ), darba dienās no 9:00 – 17:00, vai pa e-pastu: Xxxxxxx.xxxxxxxxx@xxxxx.xxx Defekti, kuri iesniegti pēc plkst. 17:00, uzskatāmi par iesniegtiem nākamajā dienā plkst. 9:00. 8.5. Ja Preces defektu dēļ Prece viena gada garantijas laikā nav izmantojama ilgāk par 8 (astoņām) nedēļām, tad tiek piemērots garantijas laika pagarinājums par tik ilgu, cik Prece nav bijusi izmantojama ar nosacījumu, ka Preces defektus nav izraisījis Pasūtītājs un par defektu ir ziņots Piegādātājam. Garantijas pagarinājuma laiks nevar pārsniegt 6 (sešas) nedēļas vien garantijas gada laikā. Ja iekārtas nav izmantojama ilgāk par 14 (čerpadsmit) nedēļām, tad Pasūtītājam ir tiesības pieprasīt Piegādātājam līgumsodu 0,1% apmērā no Līguma summas par katru dienu, kad iekārta nav izmantojama. Kā nedēļa šī līguma noteikuma izpratnē, tiek skaitītas darba dienas: no pirmdienas līdz piektdienai	8. Warranty Terms of the Goods 8.1. The Supplier confirms that the terms and conditions regarding the warranty services of the Goods stipulated in the Regulations and the Technical Proposal and the warranty terms of the manufacturer of the Goods throughout the warranty period shall be binding on the Supplier in the course of the Contract implementation. 8.2. The period and terms of warranty of the Goods at the place of operation of the same shall become effective as of the day the Waybill is signed by both Parties and shall remain valid for 12 (twelve) months or as it is stated in the technical specification. 8.3. The Supplier shall be obligated to supply all the software updates issued by the manufacturer of the Goods, if intended for the Goods, perform the warranty services within the warranty period of the Goods. 8.4. Defects may be reported over the phone 00000000 (    ), Monday to Friday from 9am to 5pm or by email to: Xxxxxxx.xxxxxxxxx@xxxxx.xxx. Defects reported after 5pm shall be deemed reported on the next day at 9am. 8.5. If the Goods are defective, the Goods can not be used for more than 8 (eight) weeks during the one-year warranty period, then the warranty period extension is applied for as long as the Goods can not been used, provided that defects of the Goods were not caused by the Contracting authority and the defect was reported to the Supplier. The warranty extension may not exceed 6 (six) weeks during the warranty year. If the equipment can not be used for more than 14 (fourteen) weeks, then the Contracting authority shall have the right to request the Supplier a penalty of 0.1% of the Contract price for each day when the equipment is not usable. As a week within the meaning of this contract, working days are calculated: from Monday to Friday
9. Nepārvarama vara 9.1. Puses tiek atbrīvotas no atbildības par Līguma pilnīgu vai daļēju neizpildi, ja šāda neizpilde radusies nepārvaramas varas vai ārkārtēja rakstura apstākļu rezultātā, kuru darbība sākusies pēc Līguma spēkā stāšanās un kurus nevarēja iepriekš ne paredzēt, ne novērst.	9. Force Majeure 9.1. The Parties shall be released from liability for the failure to fulfil the Contract fully or partially should it be caused by force majeure events or exceptional circumstances that occurred after the Contract became effective and that could not have been predicted or prevented.

9.2. Pusei, kura atsaucas uz nepārvaramas varas vai ārkārtēja rakstura apstākļu darbību, nekavējoties (ne vēlāk kā 5 (piecu) darba dienu laikā no attiecīgo apstākļu zināšanas dienas) par šādiem apstākļiem rakstveidā jāziņo otrai Pusei. Ziņojumā jānorāda, kādā termiņā pēc viņa uzskata ir iespējama un paredzama viņa Līgumā paredzēto saistību izpilde, un, pēc pieprasījuma, šādam ziņojumam ir jāpievieno dokuments, kuru izsniegusi kompetenta institūcija un kura satur ārkārtējo apstākļu darbības apstiprinājumu un to raksturojumu. 9.3. Ja šie apstākļi turpinās ilgāk nekā divus mēnešus, jebkura no Pusēm ir tiesīga atteikties no savām līgumsaistībām. Šajā gadījumā neviena no Pusēm nav atbildīga par zaudējumiem, kuri radušies otrai Pusei laika posmā pēc nepārvaramas varas apstākļu iestāšanās.	9.2. The Party referring to force majeure events or exceptional circumstances shall promptly (within 5 (five) business days of the moment the said circumstances become known) notify the other Party thereof in writing. The notice shall indicate the period that to the Party's belief is possible and expected to fulfill its obligations under the Contract and upon request enclosed with a document issued by a competent authority and containing a confirmation and description of the exceptional circumstances. 9.3. Should these circumstances last for over two months, any of the Parties shall have the right to withdraw from its obligations under the Contract. In this event none of the Parties shall be liable for the loss incurred by the other Party after the occurrence of a force majeure event.
10. Pušu atbildība 10.1. Piegādātājs par katru nokavēto Preces Piegādes vai Defektu novēršanas dienu atbilstoši Līguma 5.2.punktam, maksā Pasūtītājam līgumsodu 0,01% (viena simtdaļa no procenta) apmērā no Līguma summas, bet ne vairāk par 10% (desmit procenti) no Līguma summas. 10.2. Ja Pasūtītājs Līguma paredzētajā termiņā un apjomā neveic maksājumu par Preci, Piegādātājam ir tiesības pieprasīt no Pasūtītāja līgumsodu 0,01% (viena simtdaļa no procenta) apmērā no laikā nesamaksātās summas par katru nokavēto maksājuma dienu, bet ne vairāk par 5% (pieci procenti) no laikā nesamaksātās summas. 10.3. Līgumsoda samaksa neatbrīvo Puses no to saistību pilnīgas izpildes. 10.4. Gadījumā, ja Pasūtītājam rodas tiesības uz Līguma pamata pieprasīt no Piegādātāja līgumsodu vai jebkuru citu maksājumu, Pasūtītājam iepriekš rakstveidā brīdinot Piegādātāju ir tiesības ieturēt līgumsodu vai jebkuru citu maksājumu no Piegādātājam izmaksājamajām summām. 10.5. Puses savstarpēji ir atbildīgas par otrai Pusei nodarītajiem tiešajiem zaudējumiem, ja tie radušies viens Puses, tā darbinieku vai trešo personu darbības vai bezdarbības (tai skaitā rupjas neuzmanības, ļaunā nolūkā izdarīto darbību vai nolaidības) rezultātā.	10. Liability of the Parties 10.1. The Supplier shall be subject to a fine of 0.01% (one hundredth of a percent) of the Contract Price, however, not more than 10% (ten percent) from the Contract Price for each day of delay in the Supply of the Goods or elimination of Defects in accordance with the Clause 5.2. of the Contract. 10.2. In the event that the Contracting Authority fails to pay for the Goods within the deadline and in the amount stipulated, the Supplier shall have the right to impose on the Contracting Authority a fine of 0.01% (one hundredth of a percent) of the outstanding amount for each day of delay, however, not more than 5% (five percent) of the outstanding amount. 10.3. Payment of the fine shall not release the Parties from their obligations under the Contract. 10.4. In the event that the Contracting Authority has the right to impose a fine on the Supplier or request any other payment from the same based on the Contract, the Contracting Authority shall have the right to deduct the fine or any other payment from the amount payable to the Supplier upon prior written notice to the Supplier. 10.5. The Parties shall be mutually liable for the direct loss caused to the other Party due to the act or omission (including gross negligence, or actions through malicious intent or negligence) of the other Party or its employees or third parties.
11. Konfidencialitāte 11.1. Puses apņemas ievērot konfidencialitāti savstarpējās attiecībās, tajā skaitā: 11.1.1. nodrošināt Līgumā minētās informācijas neizpaušanu no trešo personu puses, kas piedalās Līguma izpildē, izņemot valsts un pašvaldību institūcijas, kas normatīvajos aktos noteiktā kārtībā pieprasa atklāt šādu informāciju;	11. Confidentiality 11.1. The Parties undertake to keep their mutual relationship confidential including: 11.1.1. Ensure that the information indicated in the Contract is not disclosed by third parties involved in the implementation of the Contract except to public and municipal authorities that request disclosure of such information under the procedure laid down in the laws and regulations;

11.1.2. aizsargāt, neizplatīt un bez iepriekšējas savstarpējas rakstiskas saskaņošanas neizpaust trešajām personām pilnīgi vai daļēji ar šo Līgumu vai citu ar to izpildi saistītu dokumentu saturu, kā arī tehniska, komerciāla un jebkāda cita rakstura informāciju par otras Puses darbību, kas kļuvusi tiem pieejama līgumsaistību izpildes gaitā, izņemot Latvijas Republikas normatīvajos aktos paredzētajos gadījumos. 11.1.3. Puses vienojas, ka šīs nodaļas ierobežojumi neattiecas uz publiski pieejamu informāciju, kā arī uz informāciju, kuru saskaņā ar Līguma noteikumiem ir paredzēts darīt zināmu trešajām personām. 11.2. Puses vienojas, ka konfidencialitātes noteikumu neievērošana ir rupjš Līguma pārkāpums, kas cietušajai Pusei dod tiesības prasīt no vainīgās Puses konfidencialitātes noteikumu neievērošanas rezultātā radušos zaudējumu atlīdzināšanu. 11.3. Šī Līguma nodaļas noteikumiem nav laika ierobežojuma un uz to neattiecas Līguma darbības termiņš.	11.1.2. Protect, refrain from distributing and disclosing, without prior mutual written agreement, the content of this Contract or other documents related to the implementation thereof as well as technical, commercial and other kind of information on the activity of the other Party that has become available to them in the course of implementation of the Contract to third parties, fully or partially, except in the cases prescribed by the laws and regulations of the Republic of Latvia; 11.1.3. The Parties agree that the limitations stipulated in this section shall not apply to publicly available information as well as to the information that according to the terms and conditions of the Contract is intended to be disclosed to third parties. 11.2. The Parties agree that non-compliance with confidentiality clauses shall be deemed a material breach of the Contract allowing the affected Party to request that the guilty Party indemnifies the same for the loss incurred as a result of non-compliance with confidentiality clauses. 11.3. This section of the Contract shall have no time limitation and it shall survive the expiry of the term of the Contract.

13. Līguma darbības termiņš un tā grozīšanas, papildināšanas un izbeigšanas kārtība 13.1. Līgums stājas spēkā no tā parakstīšanas brīža un ir spēkā līdz Pušu saistību pilnīgai izpildei. 13.2. Visi Līguma grozījumi un papildinājumi ir spēkā tikai tādā gadījumā, ja tie ir rakstiski un abu Pušu pilnvaroto pārstāvju parakstīti un tie ir saskaņā ar Publisko iepirkumu likuma 61. pantu. 13.3. Puses var izbeigt Līgumu pirms termiņa tikai savstarpēji rakstiski vienojoties.	13. Validity of the Contract and Procedure for Amendments, Additions, and Termination 13.1. This Agreement shall become effective upon the moment it is signed and remain valid until the full performance thereof by the Parties. 13.2. Any and all amendments and additions to the Contract shall become effective only if drawn up in writing and signed by the authorized Representatives of both Parties and consistent with Section 61 of the Public Procurement Law. 13.3. The Parties may terminate the Contract early upon written agreement. 13.4. The Contracting Authority has right to withdraw the Contract if the Contract can not be fulfilled because the Supplier has been subject to international or national sanctions or on

13.4. Pasūtītājs ir tiesīgs atkāpties no Līguma izpildes, ja Līgumu nav iespējams izpildīt tādēļ, ka Līguma izpildes laikā Piegādātājam ir piemērotas starptautiskās vai nacionālās sankcijas vai būtiskas finanšu un kapitāla tirgus intereses ietekmējošas ES un Ziemeļatlantijas līguma organizācijas dalībvalstu noteiktās sankcijas. 13.5. Citos gadījumos Līgumu var izbeigt vienpusēji tikai gadījumos, kas tieši paredzēti Latvijas Republikas normatīvajos aktos. 13.6. Jebkurā Līguma izbeigšanas gadījumā Pasūtītājs apņemas 30 (trīsdesmit) dienu laikā no tā izbeigšanas brīža atdot Piegādātājam visu saņemto un neapmaksāto Preci vai veikt pilnīgu samaksu par faktiski piegādāto un pieņemto Preci, kā arī nokārtot visas citas saistības pret Piegādātāju. 13.7. Jebkurā Līguma izbeigšanas gadījumā Piegādātājs apņemas izpildīt visas saistības, kas radušās līdz Līguma izbeigšanas brīdim un apņemas 30 (trīsdesmit) dienu laikā no Līguma izbeigšanas brīža atgriezt Pasūtītājam visu saņemto maksu par Pasūtītāja atgriezto Preci, kā arī nokārtot visas citas saistības pret Pasūtītāju. 13.8. Piegādātājs tikai ar rakstisku iepriekšēju Pasūtītāja piekrišanu ir tiesīgs aizvietot Līgumā norādītos materiālus, izstrādājumus, programmatūru un iekārtas ar ekvivalentiem materiāliem, izstrādājumiem, programmatūru vai iekārtām, ja to piedāvātā cena nepārsniedz sākotnējā piedāvājumā norādīto un: 13.8.1. tie vairs netiek ražoti un to tehniskie un kvalitātes rādītāji funkcionāli ir tādi paši vai labāki kā Līgumā norādītajiem materiāliem, izstrādājumiem, programmatūrai un iekārtām un nodrošina to pašu funkciju, vai 13.8.2. pēc līguma noslēgšanas ražotāji Precēm ir raduši inovatīvus risinājumus, par kuriem Pusēm objektīvu apsvērumu dēļ nebija zināms līguma noslēgšanas brīdī vai arī to piedāvāšana nebija iespējama Xxxxxxxxx procedūras norises laikā, vai arī tirgū pieejama Pasūtītāja norādītās programmatūras jaunāka versija, kura ir ekvivalenta tehniskajā specifikācijā prasītajai, vienlaikus piedāvājot Pasūtītājam plašākus risinājumus, un Piegādātājs to ir gatavs piegādāt par ne lielāku cenu, kā tā piedāvājumā norādīto. 13.9. Lai izmantotu Līguma 13.8.punktā noteiktās tiesības, Piegādātājs ne vēlāk kā vismaz 15 (piecpadsmit) darba dienas pirms Līguma 4.1.punktā noteiktā termiņa Pasūtītājam iesniedz informāciju par piedāvāto materiālu, izstrādājumu, programmatūru vai iekārtu, no kuras Pasūtītājs var pārliecināties, ka piedāvātā Prece atbilst sākotnējai tehniskajai specifikācijai, kā arī 13.8.1.punkta gadījumā attiecīgā ražotāja vai ražotāja pilnvarotā significant financial and capital market interests affecting the interests of the Member States of EU and the North Atlantic Treaty Organization during the performance of the Contract. 13.5. In other instances the Contract may be terminated unilaterally only in the cases explicitly prescribed by the laws and regulations of the Republic of Latvia. 13.6. In any instance of termination of the Contract the Contracting Authority undertakes to return to the Supplier all the Goods received but not paid for or pay for the Goods actually delivered and accepted fully as well as settle any other obligations towards the Supplier within 30 (thirty) days of terminating the Contract. 13.7. In any instance of termination of the Contract the Supplier undertakes to fulfill all the obligations that have occurred before the termination of the Contract and undertakes to return to the Contracting Authority the amounts paid for the Goods returned by the Contracting Authority as well as settle any other obligations towards the Contracting Authority within 30 (thirty) days of terminating the Contract. 13.8. The Supplier shall have the right to replace the materials, articles, software and equipment stipulated in the Contract with equivalent materials, articles, software and equipment only with prior written consent of the Contracting Authority provided that the price does not exceed the one indicated in the initial proposal and: 13.8.1. They are not manufactured anymore and their technical and quality indicators are functionally the same or better than those of the materials, articles, software, and equipment indicated in the Contract and ensure the same function, or 13.8.2. After conclusion of the Contract the manufacturers have found innovative solutions for the Goods that were not known to the Parties at the time of entry into the Contract due to objective reasons or that could not be offered in the course of the Procurement Procedure, or a more recent version of the software indicated by the Contracting Authority is available on the market equivalent to the one stipulated in the Technical Specification at the same time offering broader solutions to the Contracting Authority and the Supplier is willing to supply it for the price that is not higher than the one stipulated in the proposal. 13.9. For the purpose of exercising the right stipulated in Clause 13.8 of the Contract the Supplier shall at least 15 (fifteen) business days before the deadline laid down in Clause 4.1 of the Contract submit the information on the offered material, article, software or equipment that the Contracting Authority can use to make sure that the Goods offered comply with the initial Technical Specification as well as in the case described in Sub- clause 13.8.1 a statement of the respective manufacturer or the authorized representative thereof (by submitting a document certifying authorization) that the manufacturing of the respective product has been discontinued. 13.10. Upon the receipt of the information stipulated in Clause 13.9 the Contracting Authority shall evaluate the compliance of the same with the conditions referred to in Clause 13.8.

pārstāvja (iesniedzot pilnvarojumu apliecinošu dokumentu) apliecinājumu par konkrēta produkta ražošanas pārtraukšanu. 13.10.Pēc 13.9.punktā norādītās informācijas saņemšanas Pasūtītājs izvērtē šīs informācijas atbilstību 13.8.punkta nosacījumiem. Ja Pasūtītājs piekrīt grozījumu veikšanai, minētie dokumenti tiek pievienoti Līgumam kā Līguma pielikumi un uz to pamata tiek sagatavots Līguma grozījumu protokols, kas kļūst par neatņemamu Līguma sastāvdaļu. Šādā gadījumā Piegādātājam Līguma 10.1.punktā noteiktais līgumsods netiek piemērots un Puses ir tiesīgas vienoties par Līguma termiņa pagarinājumu, kas ir nepieciešams Preces piegādei. Šis termiņš aprēķināms, ņemot vērā brīdi, kad aizvietošanas nepieciešamība tiek konstatēta, un pagarinot Līguma termiņu proporcionāli laikam, kas jau pagājis kopš Līguma noslēgšanas brīža. 13.11.Līguma 13.8.punktā pielīgto tiesību Puses apņemas izmantot ar mērķi Pasūtītājam iegūt iespēju ilgtermiņā gūt labumu no Preces attīstības un tā nevar tikt izmantota ar mērķi ierobežot patiesas un godīgas konkurences principus. 13.12.Līguma izpildē iesaistītā apakšuzņēmēja vai personāla nomaiņa notiek saskaņā ar Publisko iepirkumu likuma 62.pantā noteikto kārtību. Pasūtītājs pieņem lēmumu atļaut vai atteikt apakšuzņēmēju vai personāla nomaiņu vai jauna personāla iesaistīšanu Līguma izpildē iespējami īsā laikā, bet ne vēlāk kā 5 (piecu) darbdienu laikā pēc tam, kad saņēmis visu informāciju un dokumentus, kas nepieciešami lēmuma pieņemšanai. Pasūtītājs šo lēmumu Piegādātājam paziņo rakstveidā.

In the event that the Contracting Authority agrees to amendments, the said documents shall be attached to the Contract as annexes and used as a basis to draw up a Contract amendment protocol which shall become an integral part of the Contract. In this case, the fine stipulated in Clause 10.1 of the Contract shall not be imposed on the Supplier and the Parties shall have the right to agree on an extension of the term of validity of the Contract necessary for the supply of the Goods. This term shall be calculated having regard to the moment the need for replacement was established by extending the term of validity of the Contract in proportion to the time that has passed from the moment the Contract was entered into. 13.11. The Parties undertake to exercise the right stipulated in Clause 13.8 of the Contract so that the Contracting Authority would benefit from the development of the Goods in long term and it shall not be used for the purposes of limiting the principles of fair and honest competition. 13.12. The replacement of the subcontractor or staff involved in the performance of the Contract shall be in accordance with the procedures specified in Section 62 of the Public Procurement Law. The Contracting Authority decides to permit or refuse the subcontractor or staff replacement or the involvement of new staff in the performance of the Contract as soon as possible, but not later than within 5 (five) business days after having received all the information and documents necessary for the decision. The Contracting Authority shall notify the Supplier in writing of this decision.

14. Nobeiguma nosacījumi 14.1. Līguma nodaļu virsraksti ir lietoti vienīgi ērtībai un nevar tikt izmantoti šī Līguma noteikumu interpretācijai. 14.2. Pusēm ir jāinformē vienam otra nedēļas laikā par savu rekvizītu (nosaukuma, adreses, norēķinu rekvizītu un tml.) maiņu rakstiski, apstiprinot ar parakstu. 14.3. Visus strīdus un domstarpības, kas varētu rasties sakarā ar līgumsaistību izpildi, Puses centīsies atrisināt sarunu ceļā. Gadījumā, ja 20 (divdesmit) dienu laikā sarunu ceļā strīds netiks atrisināts, Puses vienojas strīdus risināt tiesā, atbilstoši LR normatīvo aktu prasībām. 14.4. Līgums sastādīts latviešu un angļu valodā (noteicošā: latviešu valoda), divos eksemplāros uz 11 (vienpadsmit) lapām. Abiem Līguma eksemplāriem ir vienāds juridiskais spēks. Viens no eksemplāriem glabājas pie Pasūtītāja, otrs – pie Piegādātāja. 14.5. Visos citos jautājumos, ko neregulē Līguma noteikumi, Puses ievēro spēkā esošajos Latvijas Republikas normatīvajos aktos noteikto kārtību.

14. Final Provisions 14.1. The section headings contained in this Contract are for reference purposes only and shall not be used to construe the terms and conditions of the Contract. 14.2. The Parties shall notify each other of changes to their details (name, address, banking details etc.) within one week in writing and confirm the same by signing. 14.3. The Parties shall try to solve any and all disputes and differences regarding the fulfilment of obligations under the Contract by way of negotiations. In the event that the Parties fail to solve the dispute by way of negotiations within 20 (twenty) days, the Parties agree to refer the dispute to a court for settlement pursuant to the laws and regulations of the Republic of Latvia. 14.4. This Contract is made in Latvian and English (leading language: Latvian) in two copies on 11 (eleven) pages. Both copies shall have the same legal effect. One copy shall be kept by the Contracting Authority and the other – by the Supplier. 14.5. All matters other than those stipulated in the Contract shall be governed by laws and regulations of the Republic of Latvia.

14.6. Puses ar saviem parakstiem apliecina, ka tām ir saprotams Līguma saturs, nozīme un sekas, tie atzīst Līgumu par pareizu, savstarpēji izdevīgu un labprātīgi vēlas to pildīt. 14.7. Līgumam pievienoti šādi pielikumi: 14.7.1. Pielikums Nr.1 –Tehniskā piedāvājuma kopija. 14.7.2. Pielikums Nr.1 – Finanšu piedāvājuma kopija. 14.6. By signing this Contract the Parties shall confirm that they understand the content, meaning, and consequences thereof, that the Contract is true, mutually advantageous and that the Parties are willing to implement the same voluntarily. 14.7. The Contract shall have the following annexes: 14.7.1. Annex 1 – Technical Proposal copy. 14.7.2. Annex 2 – Financial Proposal copy.
