Description of provision of Container train

„S U N T R A I N“ SERVICES NO.     

UAB „VPA Logistics“, atstovaujama įgalioto asmens (toliau – Bendrovė), ir Klientas, kuris identifikuojamas Bendradarbiavimo sutarties rekvizituose, atsižvelgdami į tai, kad

Bendrovė yra konteinerinio traukinio „Saulė“ operatorius ir teikia su tuo susijusias transportavimo logistikos paslaugas (toliau vadinama Paslauga),

Bendrovė siekia operatyvaus, kokybiško ir greito savo klientų aptarnavimo, o Klientas siekia greito ir patogaus Paslaugų užsakymo, susitarė dėl šių nuostatų Bendrovei teikiant Klientui jo užsakomas transportavimo logistikos paslaugas konteineriniu traukiniu „Saulė“.

1. SĄVOKOS

1.1. Bendrovė – UAB „VPA Logistics“

1.2. Klientas – Paslaugų gavėjas, identifikuojamas Bendradarbiavimo sutartyje.

1.3. Paslaugos – Bendrovės teikiamos transportavimo logistikos paslaugos konteineriniu traukiniu „Saulė“.

1.4. Sutartis – tarp Bendrovės ir Kliento sudaryta paslaugų teikimo sutartis dėl Bendrovės teikiamos Paslaugos, kurią sudaro šios dalys: Bendradarbiavimo sutartis, šis paslaugos teikimo aprašas ir sutarties specialioji dalis (jei ji sudaryta).

1.5. Paslaugos teikimo aprašas – sudedamoji Sutarties dalis, kuri reglamentuoja Bendrovės teikiamos Paslaugos objektą, iš Paslaugos teikimo kylančias Bendrovės ir Kliento teises bei pareigas.

1.6. Sutarties specialioji dalis – sudedamoji Sutarties dalis, kurioje (jei ji pasirašoma) nustatytos Bendrovės ir Kliento sutartos specialiosios sąlygos ir/ar išlygos iš šios sutarties ir Paslaugų teikimo aprašo (jei jų yra), taip pat nuolaidos iš bazinių Bendrovės teikiamų Paslaugų įkainių (jei dėl jų susitarta).

1.7. Bendrieji (baziniai) paslaugų teikimo įkainiai – Bendrovės teikiamų paslaugų kainininkas, kuris pridedamas prie Sutarties ir kuriuo Xxxxxxxx vadovaujasi teikdama Klientui Xxxxxxxxx, nebent šalys susitartų taikyti kitus įkainius.

1.8. Krovinys - prekės ar gėrybės, kurios Bendrovės buvo priimtos pakrovimo vietoje iš nurodyto siuntėjo ir turi būti pristatytos į nurodytą Pristatymo vietą, kur jos turi būti iškrautos ir pristatytos šiame apraše nurodytam Gavėjui. Šiame apraše Krovinys reiškia tik tas prekes, kurios transportuojamos konteineriuose 20‘ DC , 40‘DC, 40‘HC, 40‘PW, 45‘HCPW, 20‘REF, 40‘REF, 20‘OT, 40‘OT, 20‘FR, 40‘FR, 20‘TC, 40‘TC, 20‘PC, 40‘PC.

1.9. Krovinių dokumentai – dokumentai, kurie yra pridedami prie Krovinio, įskaitant, bet neapsiribojant SMGS važtaraščiais, prekių kilmės sertifikatais, CIM sąskaitomis, leidimais ir licencijomis bei kitais reikalingais dokumentais, kurie yra taikytini pagal teisę.

1.10. Vežėjas - transporto įmonės, kurios Bendrovės yra paskirtos gabenti krovinius remiantis šiuo paslaugos

UAB VPA Logistics, represented by the authorized person (hereinafter referred to as the Company), and the Customer, who is identified in the cooperation agreement, whereas

the Company is the container train “Sun Train” operator and renders the associated transportation logistics services (hereinafter referred to as the Service),

the Company aspires after expeditious, quality, and swift customer service and the Customer aspires after swift and convenient ordering of Services, agreed on the following provisions where the Company renders transportation logistics services using container train “Sun Train”, as ordered by the Customer.

1. TERMS

1.1. Company – UAB VPA Logistics.

1.2. Customer – the recipient of services, identified in the cooperation agreement.

1.3. Services – transportation logistics services using container train “Sun Train”, rendered by the Company.

1.4. Agreement – the service agreement, made by and between the Company and the Customer, on the Services, rendered by the Company, comprising of the following parts: cooperation agreement, the present description of provision of Service, and special part of the agreement (if available).

1.5. Description of provision of service – the present constituent part of the agreement, which governs the object of Service, rendered by the Company, as well as rights and duties of the Company and the Customer, arising of the provision of Service.

1.6. Special part of the agreement – a constituent part of the agreement, establishing (if signed) special terms and conditions, as agreed by and between the parties, and / or reservations, arising hereof and description of provision of Services (if any), as well as discounts on base rates of Services, rendered by the Company (if agreed on the same).

1.7. General (base) rates of service – price list of the Company’s services attached to the agreement, which the Company uses in providing Service to the Customer, unless the Parties agree to apply other rates of service.

1.8. Freight – goods or assets, which the Company accepted at the place of loading from specified sender and which shall be delivered to specified place of delivery, where the same shall be unloaded and delivered to the Receiver specified herein. Herein, the Freight shall mean only the goods transported in 20‘ DC , 40‘DC, 40‘HC, 40‘PW, 45‘HCPW, 20‘REF, 40‘REF, 20‘OT, 40‘OT, 20‘FR, 40‘FR, 20‘TC, 40‘TC, 20‘PC, 40‘PC containers.

1.9. Freight documents – documents, which are appended to the freight, including, without limitation, SMGS consignment notes, certificates of origin of goods, CIM invoices, permits and licenses and other necessary documents, which shall be applied as per laws.

1.10. Carrier – transportation companies, which are appointed by the Company to transport freights based on

1.11. Xxxxxxxxx - Xxxxxxxx gabenimas iš pakrovimo vietos iki nurodytos pristatymo vietos remiantis šiuo aprašu, t. y. laikas, per kurį Xxxxxxxx yra atsakinga už Krovinį, nepriklausomai nuo to, ar Krovinys yra traukiniuose, stotyje, saugykloje ar kokioje kitoje vietoje.

1.12. Gavėjas - bet kuris fizinis ar juridinis asmuo, nurodytas Kliento kaip priimantis Krovinį nustatytoje Pristatymo vietoje.

1.13. Siuntėjas - fizinis ar juridinis asmuo, nurodytas Kliento, kaip pristatantis Krovinį gabenimui.

1.14. Pristatymo vieta reiškia:

- tranzito, importo ar eksporto iš/į Lietuvą ar Kazachstaną

– Almatos, Dostyk ar kitos geležinkelio stotys Kazachstane, kai Krovinys siunčiamas į priekį, ir Klaipėdos, Draugystės, Šeštokų ar kitos geležinkelio stotys Lietuvoje ir kitose valstybėse, kai Krovinys siunčiamas atgal.

- pristatymo į vietą atveju – galutinė Krovinio pristatymo vieta.

1.15. Pakrovimo vieta reiškia:

- tranzito, importo ar eksporto iš/į Lietuvą ar Kazachstaną

– Klaipėdos, Draugystės ar Šeštokų geležinkelio stotys Lietuvoje, kai Krovinys siunčiamas į priekį, ir Almatos ar Dostyk geležinkelio stotys, kai Krovinys siunčiamas atgal.

- tiesioginio pristatymo atveju – pirminė krovinio pakrovimo vieta.

1.16. Krovinio pakrovimas/iškrovimas - reiškia Krovinio pakrovimą/iškrovimą į/iš konteinerio.

1.17. Konteinerio uždėjimas/pakrovimas – reiškia konteinerio uždėjimą/nuėmimą ant/nuo geležinkelio platformos.

1.18. Užsakymas - yra neatskiriama Sutarties specialiosios dalies dalis, kurioje Klientas nurodo Krovinio ir Gabenimo atskirus kriterijus.

1.19.Transportavimo logistikos paslaugos - reiškia Transportavimo paslaugų organizavimą ir tai, ką nustato šio aprašo 2 straipsnis.

1.20.Transportavimo paslaugos - reiškia realų Krovinio gabenimą.

1.21.Krovinio vertė - reiškia nustatomą prekių vertę tuo metu, kai Krovinys yra priimamas gabenimui, įskaitant subsidijas ar dotacijas už prekes, kurios buvo sumokėtos valstybės institucijų. Ši vertė yra nustatoma pagal turimus dokumentus ir įprastinę kainą Jei nėra jokių dokumentų, tai vertė turi būti nustatoma remiantis rinkos kainomis. Jei rinkos kainos nėra, vertė turi būti nustatoma pagal prekių, kurios yra to paties pobūdžio ir kokybės, vertę.

II. Sutarties objektas

2.1. Šiuo paslaugų teikimo aprašu Bendrovė ir Klientas nustato Bendrovės operuojamu konteineriniu traukiniu „Saulė“ teikiamų transportavimo logistikos paslaugų teikimo Klientui nuostatas, kurios taikomos Bendrovės ir Kliento santykiams, atsirandantiems Bendrovei teikiant Klientui Transportavimo logistikos paslaugas konteineriniu traukiniu „Saulė“, o Klientui priimant šią Paslaugą ir už ją atsiskaitant, kaip tai numatyta Bendradarbiavimo sutartyje ir/ ar Specialiojoje dalyje. Šalys

1.11. Transportation – freight transportation from the place of loading to the specified place of delivery based on this description, i.e. time period, during which the Company shall bear responsibility for the freight, irrespective of whether the freight is in trains, at the station, warehouse or other place.

1.12. Receiver – any physical person or legal entity, specified by the Customer as accepting the freight at the specified place of delivery.

1.13. Sender - physical person or legal entity, specified by the Customer as delivering the freight for transportation.

1.14. Place of delivery shall mean:

- transit, import or export from/to Lithuania or Kazakhstan – Almaty, Dostyk or other railway stations in Kazakhstan, when the freight is sent forward, and Klaipėda, Draugystė, Šeštokai or other railway stations in Lithuania and other countries, when the freight is sent back.

- in case of place of delivery – final place of freight delivery.

1.15. Place of loading shall mean:

- transit, import or export from/to Lithuania or Kazakhstan – Klaipėda, Draugystė, Šeštokai or other railway stations in Lithuania, when the freight is sent forward, and Almaty or Dostyk railway stations, when the freight is sent back.

- in case of direct delivery – start place of freight loading.

1.16. Freight handling operations – means freight loading/unloading from/to container.

1.17. Container placing/loading – means container placing/loading onto/from railway platform.

1.18. Order – an integral part of the agreement’s special part, where the Customer shall specify separate criteria of the freight and transportation.

1.19. Transportation and logistics services – means organization of transportation and logistics services and else, specified by the Article 2 hereof.

1.20. Transportation services – means actual freight transportation.

1.21. Freight value – means established value of goods at the time, when the freight is being accepted for transportation, including subsidies or grants for the goods, which were paid by the state authorities. This value shall be established according to available documents and regular price. If no documents are available, then such value shall be established according to market prices. If no market price is available, then such value shall be established according to value of the goods of the same nature and quality.

II. Subject-matter of the agreement

2.1. Under the present description of provision of services the Company and the Customer shall establish the provisions of rendering of Transportation logistics services using container train “Sun Train” by the Company to the Customer, which shall apply to the relations between the Company and Customer, arising of provision of Transportation logistics services using container train “Sun Train” by the Company to the Customer, and Customer’s acceptance of such Service and

susitaria, kad šis „Saulė“ konteinerinio traukinio teikimo aprašas, sudarytas dviem vienodą juridinę galią turinčiais egzemplioriais, yra neatskiriama Sutarties, sudarytos tarp Bendrovės ir Kliento, dalis.

2.2. Bendrovė sutinka Sutarties galiojimo metu teikti Transportavimo logistikos paslaugas Klientui, kai šis paprašo tas paslaugas atlikti, o Klientas prisiima prievolę sumokėti už atliktas Transportavimo logistikos paslaugas remiantis šioje sutartyje nurodytais terminais ir sąlygomis.

2.3. Bendrovė įsipareigoja tinkamai ir sąžiningai vykdyti sutartinius įsipareigojimus vadovaudamasis ekonomikos principais, taip pat bendradarbiauti ir kooperuotis su Klientu.

2.4. Bendrovė:

2.4.1. organizuoja Transportavimo paslaugas, susijusias su Krovinio gabenimu iš Pakrovimo vietos ir iki nurodytos Pristatymo vietos;

2.4.2. Kliento pageidavimu, papildomai organizuoja Krovinio pakrovimą į konteinerį ir/ar Krovinio iškrovimą į nurodytą vietą už papildomą užmokestį;

2.4.3. Kliento pageidavimu, parengia visus reikalingus transporto ir muitinės dokumentus už papildomą užmokestį, jei nesutarta kitaip.

2.5. Šalys susitaria, kad remiantis šiuo aprašu, gabenimas yra atliekamas naudojantis geležinkeliu arba, esant Kliento pageidavimui, ir kitomis transporto priemonėmis už papildomą užmokestį.

2.6. Bendrovė pasilieka teisę sudaryti sutartis su vežėjais dėl Transportavimo paslaugų, taip pat dėl pakrovimo ir iškrovimo darbų, t. y. su kitais vežėjais, kurie tinkami ir kvalifikuoti atlikti reikiamas Transportavimo paslaugas, ar pakrovimo ir iškrovimo darbus.

III. PaslaugŲ užsakymas

3.1. Klientas, norintis užsisakyti šiame apraše numatytas paslaugas, užpildo užsakymo formą, kuri yra viešai patalpinta Bendrovės tinklalapyje xxx.xxxxxxxxxxxx.xx ir yra neatskiriama Sutarties specialiosios dalies dalis. Klientas pateikia tinkamai užpildytą formą elektroniniu paštu xxxx@xxxxxxxx.xx, xxxxxxx@xxxxxxxx.xx, faksu x000 00 000000 arba savitarnos svetainėje xxx.xxxxxxxxxxxx.xx ne vėliau kaip prieš 10 (dešimt) dienų prieš planuojamą transportavimą.

3.2. Jei Kliento pateikta informacija yra netiksli ir/ar klaidinga, Klientas prisiima atsakomybę už netinkamą Krovinių gabenimą ir taip pat prisiima atsakomybę, jei dėl jo pateiktos netikslios informacijos Krovinį netinkamai gabenant jam buvo padaryta žala, suprastėjo jo kokybė ir/ar nukrito vertė.

3.3. Bendrovė įsipareigoja patvirtinti užsakymą per 48 valandas ir pradėti organizuoti gabenimą.

3.4. Xxxxxxxx, gavusi informaciją apie Krovinį, pagal galimybes išsiaiškina papildomą informaciją, kuri yra reikalinga tinkamam Krovinio gabenimui įvykdyti: svoris, tūris, savybės, datos, techniniai reikalavimai būtini transportavimui, papildoma įranga, procedūras, draudimai, susiję su perkrovimu ir t. t. Jei Kliento pateikta informacija yra netiksli ir nepakankama, Bendrovė pagal galimybes išsiaiškina visus netikslumus ir trūkstamą būtiną informaciją, taip pat išsiaiškina visas būtinas ir

The parties hereby agree that the present description of provision of container train “Sun Train” services made in two original copies having an equal legal force is an integral part of the agreement, made by and between the Company and the Customer.

2.2. The Company shall agree to render transportation and logistics services to the Customer during the period of the agreement’s validity, when the Customer requests to render such services, and the Customer shall undertake to pay for the pay for the rendered Transportation logistics services based on the terms and conditions specified herein.

2.3. The Company shall undertake to fulfill contractual obligations duly and honestly based on principles of economics as well as to cooperate with the Customer.

2.4. The Company shall:

2.4.1. organize transportation services, related to freight transportation from the place of loading to the specified place of delivery;

2.4.2. at the Customer’s request, additionally organize freight loading into container and/or freight unloading to specified place for additional fee;

2.4.3. at the Customer’s request, prepare all necessary transportation and customs documents for additional fee, if not agreed otherwise.

2.5. The parties shall agree that based on this description, transportation shall be done by railway or, at the Customer’s request, other transportation means for additional fee.

2.6. The Company shall reserve the right to make agreements with carriers regarding transportation services as well as regarding handling operations, i.e. with other carriers suitable and qualified for rendering necessary transportation services or handling operations.

III. Ordering the services

3.1. To order the services specified herein, the Customer shall fill in the order form available at the Company’s web-site xxx.xxxxxxxxxxxx.xx, which is an integral part of the special part of the agreement. The Customer shall submit duly filled in form by e-mail xxxxxx@xxxxxxxxxxxx.xx, xxxx@xxxxxxxxxxxx.xx, fax x000 00 000000 or at self-service web-site xxx.xxxxxxxxxxxx.xx not later than 10 (ten) days prior to the planned transportation.

3.2. Should the Customer submit inaccurate and/or invalid information, the Customer shall bear responsibility for improper freight transportation and bear responsibility, if such improper freight transportation because of inaccurate information the Customer provided caused freight damage, deterioration of its quality and/or reduction in its value.

3.3. The Company shall undertake to approve the order within 48 hours and begin organization of transportation.

3.4. After receiving information on freight, the Company, when possible, shall clarify additional information, which is necessary for proper freight transportation, i.e. freight, volume, qualities, dates, technical requirements necessary for transportation, additional equipment, procedures, restrictions related to reloading, etc. Should the Customer submit inaccurate and insufficient information, the Company, when possible, shall clarify all inaccuracies and missing necessary

specialias Krovinio gabenimo sąlygas.

3.5. Pasirašydamas šį aprašą, Klientas nurodo suprantąs, kad Krovinių vežimas priklauso nuo traukinių tvarkaraščių ir kitų aplinkybių, kurių Bendrovė nekontroliuoja, ir tai gali turėti įtakos pakrovimo ir iškrovimo nurodytoms datoms.

3.6. Bendrovė turi teisę nepriimti užsakymo, jei Krovinyje yra prekių, kurių transportavimas yra draudžiamas šalyse, per kurių teritoriją Kroviniai turi būti vežami, o kito būdo organizuoti gabenimą geležinkeliu, taip kad būtų išvengta šalių teritorijų, kuriose egzistuoja draudimas gabenti šias prekes, nėra.

IV. Krovinio pakrovimas ir/ar iškrovimas

4.1. Krovinio pakrovimas ir/ar iškrovimas yra laikoma papildoma paslauga ir turi būti iš anksto Šalių raštiškai suderinta.

4.2. Klientas prisiima Krovinio pristatymo į pakrovimo vietą išlaidas ir riziką.

4.3. Kroviniai gali būti pristatomi 20‘ DC , 40‘DC, 40‘HC, 40‘PW, 45‘HCPW, 20‘REF, 40‘REF, 20‘OT, 40‘OT, 20‘FR, 40‘FR, 20‘TC, 40‘TC, 20‘PC, 40‘PC tipų konteineriuose arba kitomis transporto priemonėmis.

4.4. Kartu su Kroviniu Klientas taip pat pateikia visus su Kroviniu susijusius dokumentus, išskyrus tuos, kurie turi būti užpildyti pristatant ir pakraunant Krovinį.

4.5. Bendrovė turi tinkamai įvykdyti Kliento nurodymus, susijusius su Krovinio pakrovimo ir iškrovimo užsakymu. Tuo atveju, jei dėl kokios nors priežasties Bendrovė negali įvykdyti nurodymų, ji turi nedelsiant imtis visų įmanomų priemonių ir dėti visas pastangas, kad Klientui būtų pranešta apie negalėjimą įvykdyti nurodymų. Apie visas prastovas Klientui turi būti pranešta raštu, pateikiant tinkamai užpildytus prastovos tabelius

V. Konteinerio uždĖjimas ir/ar nuĖmimas

5.1. Konteinerio uždėjimas ir/ar nuėmimas yra laikoma papildoma paslauga ir turi būti iš anksto Šalių raštiškai suderinta, sudarant priedą prie šios Sutarties.

VI. KroviniŲ gabenimas

6.1. Prieš uždedant konteinerį ant geležinkelio platformos, Bendrovė patikrina ar Klientas pateikė visus su Krovinio Gabenimu susijusius reikalingus dokumentus bei informaciją. Tokiu atveju, jei Klientas nėra pateikęs visos reikalingos informacijos ir/ar dokumentų, Bendrovė sustabdo konteinerio uždėjimą ant geležinkelio platformos iki kol bus pateikti visi reikalingi dokumentai ir/ar informacija. Klientas privalo atlyginti visus Bendrovės patirtus nuostolius, susijusius su visos reikalingos informacijos ir/ar dokumentų nepateikimu.

6.2. Jei Šalys nesusitaria kitaip, Konteinerį uždėjus ant geležinkelio platformos, Bendrovė išrašo geležinkelio važtaraštį ir parengia kitus, su Krovinio Gabenimu susijusius dokumentus.

6.3. Tokiu atveju, jei Klientas pageidauja pats parengti visus su Krovinio Gabenimu susijusius dokumentus bei išrašyti geležinkelio važtaraštį, jis tai atlieka vadovaudamasis Bendrovės pateiktomis instrukcijomis. Jei Kliento parengti dokumentai ir/ar išrašytas geležinkelio važtaraštis neatitinka

3.5. By signing this description, the Customer shall indicate that he understands that freight transportation is subject to train schedules and other circumstances, which the Company cannot control, and that this can affect the specified dates of loading and unloading.

3.6. The Company shall have a right not to accept the order provided the freight contains goods, transportation of which is prohibited in the countries, on which territory such freight would be transported, and there is no other way to organize transportation by railway to avoid crossing the territories of the countries, where transportation of such goods is restricted.

IV. Freight handling operations

4.1. Freight handling operations shall be considered an additional service and shall be coordinated by the parties in advance in writing.

4.2. The Customer shall undertake the expenses and risk of freight delivery to the place of loading.

4.3. Freight can be delivered in 20‘ DC , 40‘DC, 40‘HC, 40‘PW, 45‘HCPW, 20‘REF, 40‘REF, 20‘OT, 40‘OT, 20‘FR, 40‘FR, 20‘TC, 40‘TC, 20‘PC, 40‘PC containers or in other means of transportation.

4.4. Along with the freight, the Customer shall also submit all freight related documents, except for the documents, which shall be filled in at the time of delivering and loading the freight.

4.5. The Company shall duly implement the Customer’s instructions, related to freight handling order. In case when due to any reason the Company cannot implement instruction, the Company shall immediately assume all possible means and exert all efforts to notify the Customer about impossibility to fulfill instructions. The Customer shall be notified about all downtime cases in writing by submitting duly filled in downtime time sheets.

V. Container placing and/or removal

5.1. Container placing and/or removal shall be considered an additional service and shall be coordinated by the parties in advance in writing by forming an appendix hereto.

VI. Freight transportation

6.1. Prior to placing container onto railway platform, the Company shall check whether the Customer submitted all necessary documents and information related to freight transportation. In case when the Customer failed to submit all the necessary information and/or documents, the Company shall suspend container placing onto railway platform until all necessary documents and/or necessary information are submitted.

6.2. If the parties do not agree otherwise, the Company shall draw up railway consignment note and prepare other documents related to freight transportation after placing the container onto railway platform.

6.3. In case when the Customer requests to prepare all documents related to freight transportation and draw up railway consignment note by himself, he shall do so based on instructions submitted by the Company. If the documents prepared and/or railway consignment note drawn up by the

Bendrovės pateiktų instrukcijų, Klientas prisiima visą su tuo susijusią atsakomybę ir įsipareigoja atlyginti visus Bendrovės dėl to patirtus nuostolius.

6.4. Tokiu atveju, jei traukinys „Saulė“ yra sulaikomas dėl Kliento netinkamai užpildyto SMGS išsiuntimo važtaraščio ir/arba kitų dokumentų, Klientas sumoka Bendrovei 300 USD dydžio baudą už viso traukinio „Saulė“ prastovą per 3 kalendorines dienas nuo tokio sulaikymo dienos.

6.5. Visi Krovinių dokumentai turi atitikti nustatytus reikalavimus, kuriuos numato taikomi įstatymai, taip pat turi atitikti tarptautinėse sutartyse nustatytus kriterijus ir tarptautinio krovinių gabenimo geležinkeliais sutarčių reikalavimus, nepriklausomai nuo to, kuri šalis išduoda krovinių dokumentus.

6.6. Nuo tos akimirkos, kai Krovinių dokumentai yra įteikiami Bendrovei, Bendrovė patikrina, ar Klientas pateikė visus reikalingus dokumentus. Jei dėl Kliento kaltės yra pristatomi ne visi dokumentai, Klientas prisiima visą atsakomybę už vėlavimą, Krovinio kokybės suprastėjimą bei visus kitus su tuo susijusius nuostolius.

6.7. Bendrovė turi imtis visų reikiamų priemonių, kad būtų užtikrintas Krovinio perdavimas nurodytam važtaraštyje ir užsakymo blanke Gavėjui. Dėl šios priežasties Xxxxxxxx turi teisę paprašyti dokumentų, patvirtinančių asmens tapatybę, darbuotojo pažymėjimo, įmonės dokumentų ir t. t.

6.8. Pristačius Krovinį į Pristatymo vietą, Xxxxxxxx reikalauja raštiško patvirtinimo, kad Krovinys yra pristatytas. Xxxxxxx privalo pasirašyti ir užantspauduoti patvirtinimą, kad priėmė krovinį.

6.9. Traukiniui „Saulė“ atvykus į pristatymo stotį, nurodytą SMGS dokumentuose, Klientas turi išsikrauti konteinerį ir pagal Bendrovės pateiktas instrukcijas parengti dokumentus tuščio vagono išsiuntimui per 48 valandas. Už kiekvieną papildomą parą Klientas privalo sumokėti Bendrovei 55 USD dydžio mokestį už vieno vagono naudojimą.

6.10. Gavėjas turi teisę per 3 (tris) darbo dienas nuo Krovinio gavimo dienos pateikti prieštaravimus susijusius su Krovinio kokybe ir kiekiu.

6.11. Bendrovė nedelsdamas turi pranešti Klientui dėl negalėjimo įvykdyti susitarimo, laikantis šios Sutarties sąlygų, ir turi pasiteirauti Kliento dėl tolimesnių nurodymų. Tuo atveju, jei aplinkybės leidžia Bendrovei vežti Krovinį nukrypstant nuo Sutarties, užsakymo ir važtaraščio sąlygų, Bendrovė turi elgtis taip, kad užtikrintų geriausius Kliento interesus. Bet kokiu atveju, Bendrovė turi dėti visas įmanomas pastangas tam, kad būtų įvykdyti Kliento nurodymai.

6.12. Xxx Xxxxxxxx negali tęsti Krovinio Gabenimo pagal Sutarties, Užsakymo ar važtaraščio nuostatas dėl priežasčių, kurių Xxxxxxxx negalėjo kontroliuoti bei protingai numatyti Sutarties sudarymo metu, Xxxxxxxx turi imtis visų įmanomų priemonių išsaugoti krovinį.

6.13. Jeigu Gavėjas atsisako priimti Krovinį, Xxxxxxxx nedelsiant turi informuoti Klientą ir gauti iš jo nurodymus dėl tolesnių veiksmų, susijusių su Kroviniu. Klientas turi teisę nurodyti kitą Gavėją, duoti nurodymą grąžinti Krovinį Bendrovei arba duoti nurodymą elgtis pagal kitas instrukcijas. Šiuo atveju Klientas turi kompensuoti visas Bendrovės patirtas

Company fails to correspond to instructions submitted by the Company, the Customer shall bear the entire associated responsibility and shall undertake to compensate all losses incurred by the Company in relation to that.

6.4. In case the train "Sun" is suspended due to Customer’s improperly filled SMGS consignment note and / or other documents, the Customer shall pay the Company 300 USD fine for a train "Sun" downtime within 3 calendar days from the date of suspension.

6.5. All freight documents shall observe the established requirements, which are stipulated by applicable laws, and shall correspond with criteria stipulated in international agreements and requirements of agreements for international freight transportation by railways, irrespective of country issuing freight documents.

6.6. As of the moment when freight documents are submitted to the Company, the Company shall check whether the Customer submitted all necessary documents. If some documents are missing due to the Customer’s fault, the Customer shall bear the entire responsibility for lateness, deterioration in freight quality and all other related losses.

6.7. The Company shall assume all necessary means to ensure transfer of the freight to the receiver specified in consignment note and order form. Because of this, the Company shall have a right to request person’s identification documents, employee’s certificate, company’s documents, etc.

6.8. Following delivery of the freight to the place of delivery, the Company shall demand a written confirmation that the freight is delivered. The Receiver shall sign and seal confirmation of freight acceptance.

6.9. After the train “Sun” arrives at the delivery station, indicated in the SMGS documents, the Customer shall unload the container in accordance with the Company’s instructions and shall prepare documents for an empty wagon dispatch within 48 hours. For each additional day the Customer shall pay the Company 55 USD fee for one wagon usage.

6.10. The Receiver shall have a right to submit objections related to quality and quantity of the freight within 3 (three) business days as of the day of receiving the freight.

6.11. The Company shall immediately notify the Customer about impossibility to implement the agreement based on the terms and conditions hereof and shall ask the Customer for further instructions. In case circumstances allow the Company transporting the freight by deviating from the terms and conditions of the agreement, the order and the consignment note, the Company shall select a course of actions to ensure the best interests of the Customer. In any case, the Company shall exert all possible efforts to implement instructions of the Customer.

6.12. Should it be impossible for the Company to continue freight transportation under provisions of the agreement, the order and the consignment note due to reasons, which the Company could not control and reasonably foresee at the time of making the agreement, the Company shall exert all possible efforts to save the freight.

6.13. Should the Receiver refuse accepting the freight, the Company shall immediately inform the Customer and receive his instructions regarding further actions related to the freight. The Customer shall have a right to specify another Receiver, instruct to return the freight to the Company or instruct to act according to other instructions. In such case the Customer

6.14. Apie Krovinio pristatymą iškrovimo vietoje Gavėjas turi būti informuotas paštu, telefonu, faksu, asmeniškai, arba elektroniniu paštu, šie duomenys turi būti nurodomi užsakyme.

VII. PavojingŲ kroviniŲ gabenimas

7.1. Šalys susitaria, kad pavojingų krovinių gabenimas turi būti aptariamas atskirai sudarant priedą prie šios Sutarties, po to, kai toks gabenimas yra suderinamas su visais Gabenimo proceso dalyviais.

7.2. Pateikiant Užsakymą dėl pavojingų Krovinių gabenimo, Klientas raštu pateikia visą informaciją apie pavojaus pobūdį, klasę, numerį ir saugos priemones, taip pat kitą svarbią informaciją, susijusią su Kroviniu. Bendrovė turi gauti visą reikalingą informaciją, o vežant Krovinį turi būti imtasi visų įmanomų saugumo priemonių. Nuo Krovinio paėmimo momento Xxxxxxxx yra atsakinga už Krovinio gabenimo saugumą.

7.3. Jei dėl nepakankamos informacijos Xxxxxxxx Xxxxxxxxx buvo sustabdytas, Klientas prisiima visiška atsakomybę už dėl savo kaltės atsiradusius nuostolius ir vėlavimą.

VIII. Kaina ir apmokĖjimas

8.1. Šalys susitaria, kad Kliento įgalioto asmens užpildytas ir užantspauduotas Užsakymo lapas, patalpintas Bendrovės internetinėje svetainėje xxx.xxxxxxxxxxxx.xx, yra laikomas Bendrovės pagrindu išrašyti PVM sąskaitas-faktūras Klientui, o Klientas neatšaukiamai įsipareigoja apmokėti Bendrovei už visas paslaugas, išvardintas Užsakymo lape, pagal Bendrovės pateiktą PVM sąskaitą-faktūrą.

8.2. Xxxxxxxx pasilieka teisę kas tris mėnesius keisti kainoraštį, bet turi informuoti Klientą apie tai prieš 10 (dešimt) dienų. Naujas kainoraštis įsigalioja po 10 dienų nuo pranešime nurodytos datos, jei tai numato ilgesnį laikotarpį nei 10 (dešimt) dienų.

8.3. Tuo atveju, jei Xxxxxxxx patyrė papildomų išlaidų dėl papildomų Kliento nurodymų arba dėl Kliento pakeistų Gabenimo sąlygų, arba patyrė kitų papildomų išlaidų, Klientas kompensuoja šias išlaidas pagal Bendrovės papildomai išrašytą PVM sąskaitą-faktūrą per 5 kalendorines dienas nuo jos gavimo dienos.

8.4. Bendrovė pateikia Klientui PVM sąskaitas-faktūras ne vėliau kaip per 3 (tris) dienas nuo konteinerio uždėjimo ant geležinkelio platformos.

8.5. Jei Šalys nesusitaria kitaip, Klientas įsipareigoja sumokėti jam išrašytas sąskaitas per 3 (tris) dienas nuo sąskaitos gavimo dienos. Bendrovė pasilieka teisę neišduoti Krovinio jo Gavėjui tol, kol Klientas visiškai atsiskaitys už Krovinio Gabenimą pagal pateiktas sąskaitas.

IX. Draudimas

9.1. Bendrovė patvirtina, kad ji yra apsidraudusi civilinės atsakomybės draudimu. Civilinės atsakomybės draudimas galioja visą šios Sutarties galiojimo laikotarpį, taip pat ir per visą laikotarpį, kuomet Xxxxxxxx turi atlikti atskiras prievoles.

9.2. Kliento prašymu Bendrovė turi pateikti įrodymus,

6.14. The Receiver shall be informed on freight delivery at the place of unloading by mail, phone, fax, in person or e-mail and such data shall be specified in the order.

VII. Transportation of dangerous goods

7.1. The parties shall agree that transportation of dangerous goods shall be discussed separately by forming an appendix hereto after such transportation is coordinated with all participants of the process of transportation.

7.2. When submitting the order for transportation of dangerous goods, the Customer shall submit all the information in writing on nature of danger, class, number and safety means as well as other important information related to the freight. The Company shall receive all necessary information, whereas during transportation of freight all possible safety means shall be assumed. As of the moment of collecting the freight the Company shall bear responsibility for freight transportation safety.

7.3. If freight transportation was suspended due to insufficient information, the Customer shall bear full responsibility for lateness and losses incurred due to the Customer’s fault.

VIII. Price and payment

8.1. The parties agree that the order form filled in and sealed by the Customer’s authorized persons and placed at the Company’s web-site xxx.xxxxxxxxxxxx.xx shall be considered the basis for the Company to draw up VAT invoices to the Customer, whereas the Customer shall irrevocably undertake to pay for all the services specified in the order form to the Company according to VAT invoice submitted by the Company.

8.2. The Company shall reserve the right to change the pricelist every three months, but shall inform the Customer on that 10 (ten) day before changing. New pricelist shall come into effect 10 days after the date specified in notification, if the notification specifies a period exceeding 10 (ten) days.

8.3. Should the Company have additional expenses due to additional instructions of the Customer or due to changes in the Customer’s conditions of transportation or should the Company have any other additional expenses, the Customer shall compensate such expenses according to the Company’s additional VAT invoice within 5 running days as of the day of receiving the same.

8.4. The Company shall submit VAT invoices to the Customer no later than within 3 (three) days as of the day of placing container onto railway platform.

8.5. If the parties do not agree otherwise, the Customer shall undertake to pay his invoices within 3 (three) days as of the day of receiving the same. The Company shall reserve the right not to submit the freight to its receiver until the Customer completes payment for freight transportation according to invoices submitted.

IX. Insurance

9.1. The Company shall confirm that it has insured itself with civil liability insurance. Civil liability insurance shall be valid for the entire period of validity of this agreement as well as during the entire period, when the Company has to fulfill separate obligations.

9.2. At the Customer’s request, the Company shall submit

patvirtinančius civilinės atsakomybės draudimo Sutartį.

9.3. Kliento pageidavimu ir Kliento lėšomis, Bendrovė gali apdrausti Krovinį nuo pageidaujamų galimų rizikų.

X. NuostoliŲ rizika

10.1. Klientas yra atsakingas dėl nesugebėjimo pateikti krovinį gabenimui ir turi kompensuoti Bendrovei 20 (dvidešimt) procentų gabenimo kainos.

10.2. Jei Gavėjas atsisako priimti krovinį, Klientas įsipareigoja padengti viskas išlaidas, patirtas Bendrovei dėl atsisakymo, taip pat sumokėti 20 (dvidešimt) procentų gabenimo kainos dydžio baudą.

10.3. Tokiu atveju, jei dėl Kliento kaltės yra bet kokiu būdu užlaikomi (-as) traukinio „Saulė“ vagonai (-as), Klientas privalo sumokėti Bendrovei 55 USD dydžio baudą už vieno vagono prastovą per parą. Klientas taip pat įsipareigoja padengti visus kitus su tokiu vagonų (-o) sulaikymu susijusius mokėjimus pagal Bendrovės pateiktus tai įrodančius dokumentus.

10.4. Xxxxxxxx neatsako ir neatlygina Klientui nuostolių ar žalos dėl muitinės, ar kitų valstybinių institucijų veiksmų, susijusių su prekių patikrinimu, Krovinio sulaikymu, konfiskacija ir kt. Klientas privalo atlyginti visus Bendrovės patirtus nuostolius.

10.5. Xxxxxxxx neatsako už nuostolius, žalą Kroviniui ar už pavėluotą pristatymą iškrovimo vietoje, jei žala buvo patirta:

10.5.1. dėl Kliento kaltės;

10.5.2. dėl Kliento duotų nurodymų;

10.5.3. dėl vežėjų kaltės;

10.5.4. dėl nematomų Krovinio defektų, kurie išryškėjo gabenant Krovinį;

10.5.5. dėl aplinkybių, kurių nebuvo įmanoma numatyti, buvo padaryt žala, kurios Bendrovė niekaip negalėjo išvengti;

10.5.6. dėl ypatingų aplinkybių:

10.5.6.1. Klientui asmeniškai arba jam leidus ar davus instrukcijas, Krovinys buvo pakrautas nesupakuotas arba supakuotas netinkamai ir dėl to, kad trūko pakuotės ar pakuotės būklė buvo sugadinta, o krovinys yra linkęs nusidėvėti arba būti apgadintas, jei nėra tinkamai supakuotas;

10.5.6.2. jei Kroviniui padaryta žala ar jis buvo iš dalies arba visiškai prarastas dėl tam tikro Krovinio pobūdžio, su sąlyga, kad Xxxxxxxx įvykdė visus nurodymus, susijusius su Krovinio gabenimu. Bendrovė turi įrodyti, kad Krovinys buvo gabenamas tinkamai, laikantis šioje Sutartyje nurodytų sąlygų;

10.5.6.3. nepakankamas ir / ar neatitinkantis reikalavimų Krovinio ženklinimas ir vietų numeravimas.

10.5.6.4. vežant gyvulius ar augalus;

10.5.6.5. dėl valdžios, muitinės, policijos ir kitų tyrimo tarnybų veiksmų ar aplaidumo;

10.5.6.6. dėl didelių sutrikimo transporto infrastruktūroje, terorizmo, karo, blokadų, streikų, embargo, riaušių, pavojingų gamtos ar oro sąlygų, tokių kaip žemės drebėjimai, potvyniai, masiniai gaisrai.

XI. Kitos sĄlygos

11.1. Šalys susitaria, kad paslaugų aprašas įsigalioja nuo tos dienos, kai yra tinkamai Kliento užpildomas, pasirašomas,

9.3. At the Customer’s request and at the Customer’s expense, the Company can insure the freight against requested possible risks.

X. Risk of losses

10.1. The Customer shall bear responsibility for failure to deliver the freight for transportation and shall compensate 20 (twenty) per cent of the price of transportation to the Company.

10.2. Should the Receiver refuse accepting the freight, the Customer shall undertake to compensate all the expenses of the Company due to such refusal and to pay fine in the amount of 20 (twenty) per cent of the price of transportation.

10.3. In case the train “Sun” wagon (-s) is (are) delayed due to the Customer’s fault, the Customer shall pay the Company 55 USD fine for one wagon downtime per one day. The Customer also undertakes to cover all other payments related to the detention of the wagons in accordance with the Company’s supporting documents.

10.4. The Company shall bear no responsibility and shall not compensate the Customer for losses or damage caused by actions of the customs or other state authorities related to inspection, detention, confiscation, etc. of the freight. The Customer shall undertake to compensate all the losses incurred by the Company.

10.5. The Company shall bear no responsibility losses and damage of the freight or for late delivery to the place of unloading, if such damage was done:

10.5.1. due to the Customer’s fault;

10.5.2. due to the Customer’s instructions;

10.5.3. due to carriers fault;

10.5.4. due to hidden defects of the freight, which came into light during its transportation;

10.5.5. due to circumstances, which could not be foreseen and which caused damage the Company could not avoid anyhow;

10.5.6. due to special circumstances:

10.5.6.1. if under personal instructions of the Customer or on his permit or instructions, the freight was loaded unpacked or improperly packed and because the package ruptured or condition of the package was damaged, whereas the freight tends to deteriorate or be damaged, if improperly packed;

10.5.6.2. if the freight was damaged or it was partially or completely lost due to certain quality of the freight, provided that the Company has fulfilled all instructions related to freight transportation. The Company has to prove that the freight was transported properly with observation of all conditions specified in the agreement;

10.5.6.3. insufficient and / or inadequate freight marking and unit numbering.

10.5.6.4. during transportation of animals or plants;

10.5.6.5. due to actions or negligence of state authorities, customs, police of other investigation services;

10.5.6.6. due to large-scale disturbance in transport infrastructure, terrorism, war, blockades, strikes, embargo, riots, dangerous nature or weather conditions, such as earthquakes, floods, massive fire.

XI. Further provisions

11.1. The parties hereby agree that the description of services shall come into effect as of the date, when it is duly
