CONVENIO DE COOPERACION INTERINSTITUCIONAL ENTRE EL MINISTERIO DE EDUCACION Y GLOBAL TIES – NYU
Conste por el presente documento, el Convenio de Cooperación Interinstitucional que celebran, de una parte, el MINISTERIO DE EDUCACION, con RUC Nº 20131370998, con domicilio legal en Xxxxx Xxx Xxxxxxxx Xx 000, xxxxxxxx xx Xxx Xxxxx, xxxxxxxxx y departamento de Lima, en adelante MINEDU, debidamente representado por su Secretaria General, señora XXXXXXX XXXXXX XXXXX XXXXXX, identificada con DNI N° 00000000, designada en el cargo mediante Resolución Ministerial N° 055-2022-MINEDU y con facultades para suscribir el presente Convenio otorgadas a través de la Resolución Ministerial N° 008-2022-MINEDU, y de la otra parte, la UNIVERSIDAD DE NUEVA YORK, a nombre de GLOBAL TIES for Children, con domicilio en 00 Xxxxxxxxxx Xxxxxx Xxxxx, Xxxxx Xxxx, 00000-0000, Xxxxxxx Xxxxxx, en adelante NYU, debidamente representada por la señora XXXXXXXX XXXXX XXXXX - XXXXXXXXX, identificada con Licencia de Conducir del Estado de Connecticut N° 238277160; en los términos siguientes:
CLÁUSULA PRIMERA.- DE LAS PARTES
El MINEDU es el órgano del Gobierno Nacional que tiene por finalidad definir, dirigir y articular la política de educación, recreación y deporte, en concordancia con la política general del Estado. Asimismo, tiene entre sus funciones dirigir, regular, ejecutar y evaluar políticas, planes, programas y modelos pertinentes para la mejora de los aprendizajes, y el acceso, permanencia y culminación oportuna de la educación; así como la de establecer los lineamientos básicos para garantizar la participación de la sociedad civil en la orientación y mejoramiento de la educación.
NYU cuenta con el centro de investigación internacional Global TIES for Children, establecido en el año 2014, dedicado a diseñar, evaluar y asesorar sobre programas y políticas para mejorar la vida de los niños y jóvenes en las regiones más vulnerables del mundo. Para ello, trabaja en conjunto con organizaciones no gubernamentales a lo largo del mundo y con gobiernos de países de bajos ingresos y países afectados por conflictos para desarrollar y evaluar enfoques innovadores que promuevan el desarrollo integral de los niños y sus comunidades.
Para los efectos del presente Convenio, cuando se haga referencia al MINEDU y a NYU de manera conjunta, se les denominará LAS PARTES.
CLÁUSULA SEGUNDA.- ANTECEDENTES
2.1 Mediante Decreto Supremo N° 008-2020-SA se declara la Emergencia Sanitaria a nivel Nacional por el plazo de noventa (90) días calendario y se dicta medidas de prevención y control para evitar la propagación del COVID-19; facultándose, entre otros sectores, al MINEDU a dictar las medidas que correspondan para que las entidades públicas encargadas de brindar el servicio educativo, en todos sus niveles, posterguen o suspendan sus actividades. Asimismo, con Decreto Supremo N° 003- 2022-SA, se prorroga la emergencia sanitaria por un plazo de ciento ochenta (180) días calendario a partir del 28 de febrero de 2022.
2.2 A través del Decreto de Urgencia N° 026-2020 se establecieron diversas medidas excepcionales y temporales para prevenir la propagación del coronavirus (COVID- 19) en el territorio nacional; en cuyo artículo 21 se autoriza al MINEDU a establecer disposiciones normativas u orientaciones, según corresponda, que resulten pertinentes para que las instituciones educativas públicas y privadas bajo el ámbito de competencia del sector, en todos sus niveles, etapas y modalidades, presten el servicio educativo utilizando mecanismos no presenciales o remotos bajo cualquier otra modalidad.
2.3 Mediante Resolución Ministerial N° 160-2020-MINEDU, se dispone la implementación de la estrategia denominada “Aprendo en casa”, como medida del MINEDU para garantizar el servicio educativo mediante su prestación a distancia en las instituciones educativas públicas de Educación Básica, a nivel nacional, en el marco de la emergencia sanitaria para la prevención y control del COVID-19.
2.4 A través de la Resolución Ministerial N° 186-2022-MINEDU, se aprueba el documento normativo denominado “Disposiciones para la prestación del servicio educativo durante el año escolar 2022 en instituciones y programas educativos de la Educación Básica, ubicados en los ámbitos urbano y rural”; mediante el cual se plantea la propuesta de tener una “nueva escuela”, tomando en consideración características como la centralidad en el bienestar del estudiante dentro y fuera de la escuela, énfasis en el soporte socioemocional, y valoración y atención de la diversidad, entre otros factores. En este sentido, se advierte la necesidad de recoger información sobre cómo está cada actor de la comunidad educativa y a partir de ello, generar acciones de soporte socioafectivo que permitan responder a sus necesidades y propicien su bienestar.
2.5 En el contexto de la emergencia sanitaria por COVID –19, las/los estudiantes docentes, directivos y familias se vieron enfrentados a situaciones imprevistas como el aislamiento, cambio en las formas de relacionarse y aprender, la enfermedad, la muerte de personas cercanas, entre muchos otros aspectos.
2.6 Mediante carta enviada vía correo electrónico de fecha 22 xx xxxxx de 2021, NYU expresa al MINEDU su intención de suscribir un Convenio de Colaboración Interinstitucional, con la finalidad desarrollar un conjunto de estudios relacionados con el malestar psicosocial y las habilidades socioemocionales en estudiantes, docentes y directores de la Educación Básica Regular.
2.7 Al respecto, la Unidad de Seguimiento y Evaluación (USE) de la Oficina de Seguimiento y Evaluación Estratégica (OSEE) del MINEDU, en virtud de las coordinaciones realizadas con NYU y en atención a la Carta antes mencionada, considera necesaria la suscripción de un convenio de colaboración interinstitucional con la finalidad de brindar apoyo en la producción de herramientas de medición de habilidades socioemocionales y malestar psicosocial, y en el uso de evidencia para la toma de decisiones de la política pública en el sector Educación.

- Resolución Ministerial N° 160-2020-MINEDU, que dispone el inicio del año escolar a través de la estrategia denominada “Aprendo en casa”, y aprueban otras disposiciones.
- Decreto Supremo Nº 008-2020-SA, que declara en emergencia sanitaria a nivel nacional; y sus prórrogas.
- Resolución Ministerial N° 118-2022-MINEDU, que aprueba la extensión del horizonte temporal del Plan Estratégico Sectorial Multianual – PESEM 2016-2024 del Sector Educación al 2026; quedando denominado como “Plan Estratégico Sectorial Multianual, PESEM 2016-2026 del Sector Educación”.
- Resolución Ministerial N° 186-2022-MINEDU, que aprueba el documento normativo denominado “Disposiciones para la prestación del servicio educativo durante el año escolar 2022 en instituciones y programas educativos de la Educación Básica, ubicados en los ámbitos urbano y rural”.
CLÁUSULA CUARTA.- OBJETO
El presente Convenio tiene por objeto el desarrollo de un conjunto de estudios relacionados con el malestar psicosocial y las habilidades socioemocionales en actores de la comunidad educativa de la Educación Básica Regular, como consecuencia de las medidas establecidas en el marco de la emergencia sanitaria, a fin de contribuir al diseño e implementación de herramientas de medición de habilidades socioemocionales en distintos actores de la comunidad educativa; así como al análisis de validez y confiabilidad de dichas herramientas en el contexto peruano.
CLÁUSULA QUINTA.- COMPROMISOS DE LAS PARTES
5.1 LAS PARTES se comprometen a:
1 La base normativa contenida en la Cláusula Tercera del presente documento, resulta vinculante únicamente para el Ministerio de Educación del Perú, no generando consecuencias administrativas, civiles o penales para la Universidad de Nueva York (NYU).
5.1.1 Aunar competencias, capacidades, esfuerzos, recursos y soporte técnico, para lograr el cumplimiento del objeto del presente Convenio.
5.1.2 Intercambiar conocimientos y experiencias, así como coordinar iniciativas para el cumplimiento del objeto del presente Convenio.
5.1.3 Elaborar conjuntamente un Plan de Trabajo que detalle las actividades a realizar para el cumplimiento del objetivo del presente Convenio.
5.2 De los compromisos de MINEDU:
5.2.1 Evaluar la posible realización de operativos de recojo de información a través de encuestas a actores de la comunidad educativa sobre habilidades socioemocionales y malestar psicosocial.
5.2.2 Elaborar, en coordinación con NYU, los materiales correspondientes en el marco de la implementación de operativos de recojo de información, tales como manuales de instrumentos, láminas de inducción, formatos de cuestionarios, entre otros para el uso de los monitores en el contexto del recojo de información.
5.2.3 Liderar y dar seguimiento a los procesos de diseño, creación y validación de herramientas de medición de habilidades socioemocionales en actores de la comunidad educativa a ser realizados de manera coordinada con NYU.
5.2.4 Analizar la información obtenida a partir de los operativos de recojo de información a través de encuestas a actores de la comunidad educativa sobre habilidades socioemocionales y malestar psicosocial, en coordinación con NYU.
5.2.5 Brindar a NYU la información producida u obtenida por MINEDU a través de bases de datos al término de los operativos de recojo de información ejecutados para su apoyo técnico en la realización de análisis estadísticos, en el marco del objeto del presente Convenio.
5.3 De los compromisos de NYU:
5.3.1 Participar del proceso de diseño y creación de diferentes instrumentos de medición remota de habilidades socioemocionales en actores de la comunidad educativa, proponiendo ajustes y mejoras a los mismos.
5.3.2 Asesorar al MINEDU en caso de implementación de estudios vinculados a habilidades socioemocionales en distintos actores de la comunidad educativa.
5.3.3 Realizar los análisis psicométricos de los datos resultantes de la medición de actores de la comunidad educativa implementada por el MINEDU.
5.3.4 Elaborar informes que detallen los resultados del análisis psicométrico de la medición de actores de la comunidad educativa al término de los operativos.
5.3.5 Compartir con MINEDU las bases de datos con los resultados de los análisis, así como todos los códigos y archivos generados que permitan reproducir el resultado obtenido para posibles nuevos estudios o investigaciones.
CLÁUSULA SEXTA.- DEL FINANCIAMIENTO
LAS PARTES convienen en precisar que, tratándose de un Convenio de Colaboración, a través del cual se establecen lineamientos de cooperación mutua y asistencia, su celebración no generará transferencias de recursos, ni pagos como contraprestación alguna de LAS PARTES, sino la colaboración eficaz que coadyuve al cumplimiento de sus fines. Asimismo, la suscripción del presente Convenio no irroga gasto al MINEDU.
CLÁUSULA SÉPTIMA.- SOBRE LA PROPIEDAD INTELECTUAL Y DISEMINACIÓN
7.1 La titularidad de los derechos patrimoniales de autor sobre los materiales creados y/o elaborados por cada una de LAS PARTES, de forma individual, les corresponden a estos; facultando a la otra parte a hacer uso de los mismos, únicamente en el marco de las competencias y objeto del presente Convenio.
7.2 De otro lado, LAS PARTES conservan la titularidad exclusiva de los derechos de propiedad sobre sus marcas y signos distintivos, los cuales podrán ser empleados por la contraparte mediante previa autorización, conforme a la normatividad vigente.
7.3 La titularidad de los derechos patrimoniales de autor sobre los materiales, productos o herramientas creados en coproducción en el marco del presente Convenio le corresponde a LAS PARTES, encontrándose ambas facultadas a hacer el uso de los mismos en el marco de sus competencias.
7.4 Si NYU considera realizar actividades para la difusión de los resultados (publicación académica, resumen de política educativa, presentaciones, etc.), deberá coordinarlas previamente con el MINEDU.
CLÁUSULA OCTAVA.- INFORMACIÓN CONFIDENCIAL
Para los efectos de este Convenio, la información brindada a NYU que involucre base de datos nominadas de personas tendrá que pasar previamente por un proceso de disociación. El tratamiento de la confidencialidad transmitida por el MINEDU se realizará en el marco de la Ley N° 29733, Ley de Protección de Datos Personales y su Reglamento aprobado por Decreto Supremo N° 003-2013-JUS.
CLÁUSULA NOVENA.- COORDINACIÓN INTERINSTITUCIONAL
9.1 Para el logro del objeto del presente Convenio, LAS PARTES acuerdan designar como sus representantes a las siguientes personas:
- Representante del MINEDU : El/La Jefe/a de la Unidad de Seguimiento y Evaluación de la Oficina de Seguimiento y Evaluación Estratégica de la Secretaría de Planificación Estratégica.
- Representante de NYU : El/La Oficial de Contratos de NYU, señora XXXXXXXX XXXXX XXXXX - XXXXXXXXX.
9.2 LAS PARTES podrán designar a un representante alterno o sustituir a los designados en el presente documento mediante comunicación escrita cursada a la otra parte.
CLÁUSULA DÉCIMA.- PLAZO DE VIGENCIA
La vigencia del presente Convenio es de seis (06) meses, que rige a partir de la fecha de suscripción por ambas partes, tomando en cuenta la fecha de la última firma digital, pudiendo ser renovado mediante Adenda, por menor o igual período, por acuerdo mutuo de las partes, previo al vencimiento del presente Convenio.
CLÁUSULA UNDÉCIMA.- MODIFICACIÓN DEL CONVENIO
LAS PARTES, en cualquier momento de la ejecución del Convenio y de mutuo acuerdo, podrán modificar el contenido del mismo, siempre que dicha variación se encuentre acorde con su objeto. Dicha modificación deberá ser realizada mediante Adenda, bajo las mismas formalidades a las que se sujeta el presente documento, la misma que formará parte integrante del Convenio, y entrará en vigor a partir de su aprobación.
CLÁUSULA DUODÉCIMA.- RESOLUCIÓN
El presente Convenio podrá quedar resuelto por las siguientes causales:
a) Por incumplimiento de los compromisos pactados en el presente Convenio. En caso de incumplimiento, dentro de los cinco (05) días calendario de producido el mismo, la parte afectada requerirá a la otra el cumplimiento de los compromisos asumidos, otorgándole un plazo xx xxxx (10) días calendario, bajo apercibimiento que el Convenio quede resuelto de pleno derecho.
b) Por mutuo acuerdo entre LAS PARTES. La resolución surtirá pleno efecto en la fecha que LAS PARTES lo acuerden por escrito.
c) Por decisión unilateral, previa comunicación y por escrito, cursada a las otras partes con una anticipación no menor de treinta (30) días calendario a la fecha que se desea como terminación del Convenio.
d) Por circunstancias de carácter administrativo debidamente fundamentadas, previa comunicación y por escrito, cursada a las otras partes con una anticipación no menor de treinta (30) días calendario a la fecha que se desea como terminación del Convenio.
En cualquiera de las causales de resolución, LAS PARTES se comprometen a culminar las actividades programadas que se encuentren en plena ejecución siempre que ello resulte posible y no se acuerde algo distinto, salvo caso fortuito o fuerza mayor.
CLÁUSULA DÉCIMA TERCERA.- SOLUCIÓN DE CONTROVERSIAS
Toda controversia, discrepancia o reclamación que pudiera derivarse de este Convenio, o que guarde relación con el mismo, incluidas las de su caducidad, ejecución, cumplimiento o interpretación será resuelta inicialmente mediante la práctica del dialogo amistoso y directo, adoptándose soluciones de mutuo acuerdo siguiendo las reglas de la buena fe y común intención de LAS PARTES.
CLÁUSULA DÉCIMA CUARTA.- DISPOSICIONES FINALES
Cualquier comunicación que deba ser cursada entre LAS PARTES, se entenderá válidamente realizada en los domicilios legales consignados en la parte introductoria del presente Convenio.
Los cambios de domicilio deberán ser puestos en conocimiento de la otra parte al día siguiente de ocurrido el cambio, caso contrario, toda comunicación o notificación al domicilio consignado en la introducción del presente Convenio surtirá todos sus efectos legales.
El presente documento se suscribe en señal de conformidad en inglés y español y rige a partir de su suscripción por ambas partes, tomando en cuenta la fecha de la última firma digital.

AGREEMENT N° 019-2022-MINEDU
INTER-INSTITUTIONAL COOPERATION AGREEMENT BETWEEN THE MINISTRY OF EDUCATION AND GLOBAL TIES – NYU
This is the Inter-institutional Cooperation Agreement entered into by the MINISTRY OF EDUCATION, with RUC [Tax Identity Number] No. 20131370998, with legal domicile at Xxxxx Xxx Xxxxxxxx Xx. 000, district of San Xxxxx, province and department of Lima, hereinafter MINEDU, duly represented by its Secretary General, Ms. XXXXXXX XXXXXX XXXXX XXXXXX, identified by DNI [National Identity Document] No. 00000000, appointed to her post by Ministerial Resolution No. 055-2022-MINEDU and empowered to sign this Agreement by Ministerial Resolution No. 008-2022-MINEDU, and by the other party, NEW YORK UNIVERSITY, on behalf of GLOBAL TIES for Children, domiciled at 00 Xxxxxxxxxx Xxxxxx Xxxxx, Xxx Xxxx, 00000-0000, Xxxxxx Xxxxxx, hereinafter NYU, duly represented by Ms. XXXXXXXX XXXXX XXXXX - XXXXXXXXX, identified by Connecticut State Driver’s License No. 000000000; under the following terms:
CLAUSE ONE. - THE PARTIES
MINEDU is the body of the National Government whose purpose is to define, direct and articulate the policy of education, recreation and sports, in accordance with the general policy of the State. It also has among its functions to direct, regulate, execute and evaluate policies, plans, programs and models to improve learning, and access, permanence and timely completion of education; as well as to establish basic guidelines to guarantee the participation of civil society in the improvement of education.
NYU houses the international research center Global TIES for Children established in 2014, dedicated to designing, evaluating, and advising on programs and policies to improve the lives of children and youth in the world’s most vulnerable regions. To this end, it works in partnership with non-governmental organizations around the world and with governments in low-income and conflict-affected countries to develop and evaluate innovative approaches that promote the holistic development of children and their communities.
For the purposes of this Agreement, when reference is made to MINEDU and NYU jointly, they shall be referred to as THE PARTIES.
CLAUSE TWO.- BACKGROUND
2.1 By Supreme Decree No. 008-2020-SA, the Peruvian Government declared the National State of Emergency for a period of ninety (90) calendar days, dictating prevention and control measures in order to avoid the spread of COVID-19; exhorting, among other sectors, MINEDU to dictate the corresponding measures so that public entities in charge of providing educational services, at all levels, postpone or suspend their activities. Likewise, with Supreme Decree N° 003-2022-SA the National State of Emergency was extended for a period of one hundred and eighty
(180) calendar days, beginning February 28, 2022.
2.2 Through Emergency Decree No. 026-2020, several exceptional and temporary measures were established to prevent the spread of the coronavirus (COVID-19) in the national territory; Article 21 of this decree authorizes MINEDU to establish regulatory provisions or guidelines, as appropriate, so that public and private educational institutions under the competence of the sector, at all levels, stages and modalities, provide educational services using non face-to-face or remote mechanisms under any other modality.
2.3 Through Ministerial Resolution No. 160-2020-MINEDU, the implementation of the strategy called “Aprendo en casa” (“I learn at home”) is set, as a MINEDU measure to guarantee the educational service through distance learning in public educational institutions of Basic Education, nationwide, within the framework of the health emergency for the prevention and control of COVID-19.
2.4 Through Ministerial Resolution No. 186-2022-MINEDU, the regulatory document entitled “Provisions of educational services during the 2022 school year in educational institutions and programs of Basic Education, located in urban and rural areas. In this resolution, MINEDU proposes to have a “new school”, taking into consideration characteristics such as the focus on student welfare inside and outside school, emphasis on socioemotional support, and valuing and attention to diversity, among other factors. In this sense, there is a need to gather information on how each actor of the educational community is doing and, based on this, to generate actions of socio-affective support that allow to respond to their needs and promote their wellbeing.
2.5 In the context of the COVID-19 health emergency, students, teachers, principals and families were faced with unforeseen situations such as lockdowns, changes in in interactions and learning processes, illness, death of people close to them, among many other aspects.
2.6 By letter sent via email dated June 22, 2021, NYU expresses to MINEDU its intention to sign an Interinstitutional Collaboration Agreement, in order to develop a set of studies related to psychosocial distress and socioemotional skills in students, teachers and principals of Regular Basic Education.
2.7 In this regard, the Monitoring and Evaluation Unit (USE) of MINEDU's Office of Strategic Monitoring and Evaluation (OSEE), by virtue of the coordination with NYU, and in response to the aforementioned Letter, considers it necessary to sign an inter- institutional collaboration agreement to provide support in the production of tools for measuring social-emotional skills and psychosocial distress, and for the use of evidence for public policy decision-making in the education sector.

- Ministerial Resolution No. 118-2022-MINEDU which approves the extension of the time horizon of the Multiannual Sectorial Strategic Plan - PESEM 2016-2024 of the Education Sector to 2026; being renamed as “Multiannual Sectorial Strategic Plan (Plan Estratégico Sectorial Multianual), PESEM 2016-2026 of the Education Sector”.
- Ministerial Resolution No. 186-2022-MINEDU, which approves the regulatory document entitled “Provisions of educational services during the 2022 school year in educational institutions and programs of Basic Education, located in urban and rural areas.
CLAUSE FOUR.- PURPOSE
The purpose of this Agreement is to develop a set of studies related to psychosocial distress and socioemotional skills in the school community of Regular Basic Education, who were impacted by the measures for the prevention and control of the health emergency, to contribute to the design and implementation of tools to measure socioemotional skills in different actors of the educational community, as well as to the analysis of the validity and reliability of these tools in the Peruvian context.
CLAUSE FIVE.- COMMITMENTS OF THE PARTIES
5.1 THE PARTIES agree to the following:
5.1.1. Undertake to pool competencies, capabilities, efforts, resources, and technical support to achieve the fulfillment of the purpose of this Agreement.
5.1.2. To exchange knowledge and experiences, as well as to coordinate initiatives for the fulfillment of the purpose of this Agreement.
5.1.3. To jointly elaborate a Work Plan detailing the activities to be carried out for the fulfillment of the objective of this Agreement.
5.2 MINEDU’s commitments:
5.2.1. To evaluate the possibility of conducting remote data collection operations on socioemotional skills and psychosocial distress in the school community.
5.2.2. Develop, in coordination with NYU, the corresponding materials to implement of information gathering efforts, such as manuals for tools, training slides, questionnaire formats, among others, for enumerators in the context of data collection.
5.2.3. To lead and follow up on the design, development and validation processes of tools for measuring socioemotional skills in the school community that will be conducted with NYU.
5.2.4. To analyze the information obtained in the data collection operations through surveys to the school community on their socioemotional skills and psychosocial distress in coordination with NYU.
5.2.5. Provide NYU with information produced or obtained by MINEDU through databases at the end of the data collection operations, to get technical support for statistical analysis, within the framework of the purpose of this Agreement.
5.3 NYU’s commitments:
5.3.1 Be part of the design and development of different instruments for remote measurement of socioemotional skills in the school community, proposing adjustments and improvements.
5.3.2 Advise MINEDU in case of the implementation of studies related to socioemotional skills in different actors of the educational community.
5.3.3 Conduct psychometric analyses of the data resulting from the measurement of the school community implemented by MINEDU.
5.3.4 Prepare reports detailing the results of the psychometric analysis of the measurement of the school community, by the end of the operations.
5.3.5 Share with MINEDU the databases with the results of the analyses, as well as all the codes and files generated that allow reproducing the results obtained for possible new studies or research.
CLAUSE SIX.- FINANCING
THE PARTIES agree to specify that, since this is a collaboration agreement, through which mutual cooperation and assistance guidelines are established, its execution shall not generate any transfer of resources, nor payments as any consideration from THE PARTIES, but rather the effective collaboration that contributes to the fulfillment of their purposes. Likewise, the execution of this Agreement does not entail any expense for MINEDU.
CLAUSE SEVEN.- ON INTELLECTUAL PROPERTY AND DISSEMINATION
7.1 The ownership of the copyrights on the materials created and/or elaborated by each of THE PARTIES, by themselves, corresponds to each of them; the other party is authorized to make use of the same, only within the framework of the competencies and purpose of this Agreement.
7.2 On the other hand, THE PARTIES retain the exclusive ownership of the property rights over their trademarks and distinctive signs, which may be used by the other party with prior authorization, in accordance with the regulations in force.
7.3 The ownership of the copyrights on the materials, products or tools created in co- production within the framework of this Agreement corresponds to THE PARTIES, both being entitled to make use of them within the framework of their competences.
7.4 If NYU considers carrying out activities for the dissemination of the results (academic publication, summary of educational policy, presentations, etc.), it must coordinate them beforehand with MINEDU.
CLAUSE EIGHT.- CONFIDENTIAL INFORMATION
For the purposes of this Agreement, information provided to NYU that involves a database of nominated individuals must first undergo a disassociation process. The processing of confidential information transmitted by MINEDU will be carried out within the framework of Law No. 29733, Personal Data Protection Law and its Regulations approved by Supreme Decree No. 003-2013-JUS.
CLAUSE NINE.- INTER-INSTITUTIONAL COORDINATION
9.1 For the achievement of the purpose of this Agreement, THE PARTIES agree to designate the following persons as their representatives:
- MINEDU Representative: The Head of the Monitoring and Evaluation Unit of the Strategic Monitoring and Evaluation Office of the Strategic Planning Secretariat.
- NYU Representative: The NYU Contract Officer, Ms. XXXXXXXX XXXXX XXXXX-XXXXXXXXX.
9.2 THE PARTIES may designate an alternate representative or replace those designated herein by means of a written communication sent to the other party.
CLAUSE TEN.- TERM OF VALIDITY
The term of this Agreement is six (06) months, effective as of the date of its execution by both parties, considering the date of the last digital signature, and may be renewed by an addendum, for a shorter or equal period, by mutual agreement of the parties, prior to the expiration of this Agreement.
CLAUSE ELEVEN.- MODIFICATION OF THE AGREEMENT
THE PARTIES, at any time during the execution of the Agreement and by mutual agreement, may modify the content of the same, provided that such variation is in accordance with its purpose. Any modification shall be made by means of an Addendum, under the same formalities to which this document is subject, which shall form an integral part of the Agreement, and shall become effective as of its approval.
CLAUSE TWELVE.- RESOLUTION
This Agreement may be terminated for the following reasons:
a) For failure to comply with the agreed commitments upon in this Agreement. In the event of non-compliance, within five (5) calendar days of the occurrence thereof, the affected party shall require the other party to comply with the commitments assumed, granting it a term of ten (10) calendar days, under penalty of termination of the Agreement by operation of law.
b) By mutual agreement between THE PARTIES. The resolution shall take full effect on the date agreed upon by THE PARTIES in writing.
c) By unilateral decision prior written notice to the other party not less than thirty
(30) calendar days prior to the desired date of termination of the Agreement.
d) Due to duly substantiated administrative circumstances, prior written notice to the other party not less than thirty (30) calendar days prior to the date of the desired termination of the Agreement.
In any of the grounds for termination, THE PARTIES undertake to complete the scheduled activities that are in full execution whenever possible and unless otherwise agreed, except in the case of unforeseeable circumstances or force majeure.
CLAUSE THIRTEEN.- RESOLUTION OF DISPUTES
Any controversy, discrepancy or claim that may arise from this Agreement, or that is related to the same, including those of its expiration, execution, compliance or interpretation shall be initially resolved through the practice of amicable and direct dialogue, adopting solutions by mutual agreement following the rules of good faith and common intention of THE PARTIES.
CLAUSE FOURTEEN.- FINAL PROVISIONS
Any communication to be made between THE PARTIES shall be deemed to have been validly made at the legal addresses set forth in the introductory part of this Agreement.
Changes of address shall be notified to the other party on the day following the occurrence of the change, otherwise, any communication or notification to the address stated in the introduction of this Agreement shall have all its legal effects.
The present Agreement is subscribed, in conformity, in English and Spanish, and is valid from the date of its subscription by both parties, taking into account the date of the last digital signature.
