2-FACTURACION PAGOS: La Operadora remitirá a la Agencia la(s) factura(s) de cada uno de sus clientes o grupos de clientes, adjuntando a la(s) misma(s) el bono original o el Rooming List correspondiente, comprometiéndose la Agencia a satisfacer el importe de la(s) factura(s) de sus cliente(s) en el plazo máximo fijado en el Apartado C-5 de este contrato. El incumplimiento de las condiciones de pago por parte de la Agencia, facultará a la Operadora para rescindir o suspender el contrato, siempre que habiendo requerido fehacientemente a la Agencia, ésta no cancele el importe reclamado en un plazo máximo de 5 días naturales a partir de la notificación de dicho requerimiento y ello sin perjuicio del derecho de la Operadora a ejercitar la correspondiente acción judicial por el incumplimiento del contrato.

3-RECLAMACIONES DE CLIENTES Y DESCUENTOS SOBRE PAGOS: En virtud de lo

establecido en la Ley de Defensa de los Consumidores y Usuarios, no procederá la aplicación de descuentos económicos en concepto de reclamaciones de clientes por deficiencias en la prestación de servicios del establecimiento, que no hayan sido denunciadas por el cliente (o su representante) durante el periodo de estancia en dicho establecimiento y de las que la Dirección del Establecimiento no tenga la correspondiente notificación y haya dado el visto bueno. Cualquier retención o descuento realizado unilateralmente por la Agencia sin la previa autorización por escrito por parte del hotel, tendrá la consideración de incumplimiento de las obligaciones de pago por parte de la Agencia y facultará a la Operadora para instar la automática resolución del contrato. En ningún caso procederá la aplicación de descuentos en concepto de reclamaciones de clientes, transcurrido más de un año desde la fecha de estancia del cliente en el Hotel.

4-NON SHOWS Y CANCELACIONES: Si después de confirmada una reserva no se presentaran los clientes, la Operadora se reserva el derecho de reclamar a la Agencia el abono de los cargos estipulados en el Apartado A de este contrato, viniendo la Agencia obligada a su pago. Las cancelaciones de reservas deberán ser comunicadas dentro de los límites estipulados en el Apartado A de este contrato. De no ser así, la Operadora se reserva el derecho de reclamar a la Agencia de la misma forma que en los caso de Non Shows estipulado en el Apartado A de este contrato.

5 MERCADO DE APLICACIÓN: contrato valido única y exclusivamente para los mercados que se detallan en la observación 16. el hotel podrá solicitar a la agencia/to que verifique el mercado de origen de cualquier reserva sobre la que existan dudas razonables, de cualquier forma, si a la llegada de los clientes al hotel, se comprobara que el país de residencia de los mismos es distinto al acordado en contrato, el hotel quedaría autorizado a rechazar la reserva 6-PRESTACION DE SERVICIO: La Operadora garantiza que el hotel prestará a los clientes de la Agencia los servicios propios de acuerdo con su categoría. Asimismo en caso de que el Hotel, por causas que le fueran imputables, no pudiera alojar a un cliente con la correspondiente reserva, la Operadora le proporcionará alojamiento en otro hotel de igual o superior categoría, hasta que la Operadora tenga disponibilidad en el establecimiento contratado originalmente. En ese momento el huésped deberá retornar al Hotel originalmente contratado. En caso de que el huésped optara por no retornar, la diferencia de precios que se genere entre ambos establecimientos será por su cuenta o de la Agencia. En el caso de que un cliente se aloje en otro hotel, propuesto por la Agencia, si hubiera diferencia de precio, éste será con cargo a la Operadora, siempre y cuando ésta lo hubiera aceptado con anterioridad.

7-EXENCION DE RESPONSABILIDAD: La Operadora no se hace responsable de las deficiencias, molestias, daños y/o perjuicios referidos al alojamiento, manutención y demás servicios del Hotel, originados como consecuencia de cualquier alteración de la normal actividad laboral, tales como huelgas, cierres patronales, etc. También quedan al margen de la responsabilidad de la Operadora todos los daños y perjuicios que pudieran ser ocasionados a

los clientes, en sus personas o en sus bienes, como consecuencia de actos de terrorismo, atracos o cualquier ilícito penal, ocurridos dentro del inmueble hotelero.

8-CIERRE Y APERTURA DEL HOTEL: En el caso de no ser un contrato con garantía de ocupación, ni imponerse la Agencia penalización alguna por el no cumplimiento de las plazas contratadas, ni el Hotel ni la Operadora estarán obligados al pago de indemnización alguna si por causas de baja ocupación del establecimiento, debieran atrasar o adelantar el cierre o la apertura del Hotel. No obstante, en tal caso los clientes serán alojados en hoteles de igual o superior categoría.

9-INFORMACION SOBRE VENTAS: La Agencia entregará al hotel, por escrito, la situación de ventas mensualmente como mínimo y mantendrá informado al Hotel sobre la marcha de las ventas cuando éste lo solicite

10-FUERZA MAYOR: Lo convenido en el presente contrato quedará sin eficacia alguna en caso de “fuerza mayor”, como por ejemplo guerras, catástrofes, epidemias, huelgas y otros análogos.

11-CONFIDENCIALIDAD: Las cláusulas del presente contrato son confidenciales por lo que la Agencia se obliga a no difundir las condiciones o cláusulas del mismo, ni establecer comparación pública de precio final de venta del hotel contratado con otras Agencias o Tour Operadores que asimismo tengan cupo o contraten reservas en el hotel 12- MODIFICACIONES DE CONTRATO: Las posibles modificaciones relativas al presente contrato, se realizarán siempre por escrito y de mutuo acuerdo entre las partes, dejando en vigor cuanto del mismo no queda alterado por ellas. NO obstante lo anterior, la OPERADORA o el Hotel podrán modificar unilateralmente y en cualquier momento los CUPOS, RELEASE Y ESTANCIA MINIMA previamente acordados. En tal caso, la OPERADORA o el Hotel deberán notificar a la Agencia dicho cambio por escrito.

13-SUBROGACION: Las partes reconocen expresamente el derecho de la otra parte a rescindir este contrato por el hecho de la cesión, arrendamiento o cualquier otra figura jurídica que altere o modifique la relación contractual entre Propietaria, y en su caso Gestora, y Operadora y que afecte al establecimiento hotelero objeto del presente contrato, dado el carácter xx xxxxx confianza en base al cual predominantemente se ha formalizado este contrato. De darse tales supuestos, la parte que desee rescindir el contrato lo notificará a la otra parte con la antelación previa suficiente.

14-DUPLICIDAD CONTRATOS: En caso de discordancia entre lo estipulado en el presente contrato y lo pactado en cualquier otro firmado por las partes con anterioridad a éste y periodo de vigencia concordante, prevalecerá lo convenido en el presente.

15- PRESENTACION Y VENTA: La Agencia se compromete a poner a la venta el total de camas contratadas y a publicar el hotel al que se refiere el presente contrato en su folleto y/o web principal con fotografía, texto descriptivo y logo correspondiente, conforme a las instrucciones recibidas de la Operadora en cada caso. El folleto deberá obrar en poder de la Operadora y Hotel por lo menos 15 días antes del comienzo de la temporada.

Los importes y condiciones de pago correspondientes a las inserciones publicitarias que se acuerden en este contrato o posteriormente entre las partes, se regirán por las condiciones pactadas en cada caso. No obstante, la Operadora no vendrá obligada a abonar importe alguno por inserciones publicitarias, mientras quede alguna factura pendiente de abono por parte de la Agencia derivada o en relación con el presente Contrato, y que no haya sido abonada dentro del plazo establecido para ello.

16-INTERVENCIÓN DE LA AGENCIA: Se pacta expresamente que, con independencia de lo dispuesto en el Código de Comercio en sus artículos 244 y siguientes; en el Real Decreto de 25 xx Xxxxx de 1.988 y en su desarrollo, establecido en la Orden ministerial de 14 xx Xxxxx de 1.988, la intervención de la Agencia en el presente contrato de reserva de plazas de alojamiento, se lleva a cabo con carácter solidario de su representada, por lo que la Agencia asume voluntariamente, todas las obligaciones y derechos derivados de este contrato, en los

términos previstos en los artículos 1140 y siguientes del Código Civil de España,. 17- PRIVACIDAD DE DATOS: La Operadora recibirá la rooming list con los datos

personales de los clientes de la Agencia convirtiéndose por tanto en el Encargado del Tratamiento del mencionado fichero de clientes, circunstancia que la Agencia acepta y consiente, sin que el suministro de dichos datos constituya una cesión de datos a los efectos de la Ley Orgánica de Protección de Datos.

La Operadora única y exclusivamente utilizará los datos de carácter personal a los que tenga acceso, en virtud de este contrato, para efectuar la reserva de habitaciones solicitada y a los efectos de cumplir con las obligaciones de alojamiento incluidas en esta cláusula, no pudiendo comunicar los mismos a terceros. Una vez que los clientes incluidos en la rooming list se registre como cliente de la Operadora a través del check in en el hotel, sus datos serán incorporados al Fichero Clientes de la Operadora y serán utilizados para las finalidades aceptadas por el cliente.

Asimismo la Operadora, como Encargado del Tratamiento, deberá implementar todas las medidas de seguridad, organizativas y técnicas, exigidas de manera especial por el Real Decreto 1720/2007, de 21 de diciembre, por el que se aprueba el Reglamento de desarrollo de la Ley Orgánica 15/1999, de 13 de diciembre, de protección de datos de carácter personal, así como las que la legislación vigente imponga en cada momento.

18- DESARROLLO SOSTENIBLE A través de la aceptación del presente contrato, la Agencia acuerda y se compromete con la “Operadora” a: Observar el cumplimiento de toda la legislación local, nacional e internacional vigente y aplicable a su actividad. No utilizar el trabajo infantil, No utilizar ninguna fórmula de esclavitud, obligatoriedad o trabajo forzoso, Proporcionar a los trabajadores un entorno laboral seguro y saludable, Asegurar el respeto a la libertad de opinión y el derecho de asociación, No tolerar ningún tipo de discriminación negativa (sexo, raza, religión, discapacidad u otros.), Eliminar cualquier tipo de coerción o abuso psicológico o físico, Observar el cumplimiento de los acuerdos nacionales en materia de salarios y beneficios, horarios de trabajo y días libres, Fomentar la minimización del impacto medioambiental negativo producido por la empresa, así como erradicar la oferta a sus clientes de prácticas que atenten contra el medioambiente de los destinos en los que opere., Hacer cumplir este código de buenas prácticas en su propia cadena de aprovisionamiento, Informar a los empleados de los contenidos del Código, Por lo demás, se condena explícitamente todas las formas de explotación sexual con niños y apoyar todas las acciones legales para prevenir y castigar estos delitos. 19.-PUBLICIDAD DE “PAGO-POR-CLICK” EN BUSCADORES WEB: La Agencia acuerda no apostar en sistemas de Pago por click por palabras clave que contengan la propiedad intelectual (nombres de hoteles, marcas, etc.) de Meliá Hotels International ni cualquier cosa sustancialmente parecida a la propiedad intelectual de Meliá Hotels International, incluyéndose errores ortográficos, ni en solitario ni en conjunción con otros términos o palabras.

20.-LEGISLACIÓN APLICABLE: El presente contrato deberá interpretarse de conformidad con la legislación española, aplicable al fondo del asunto.

21.-JURISDISCION: Para cuantas cuestiones pudieran derivarse de la interpretación o ejecución del presente contrato, las partes con renuncia a cualquier otro fuero o jurisdicción que pudiera corresponderles, se someten a la jurisdicción de los Juzgados y Tribunales estipulados en la Observación (22) de este contrato.

2-INVOICING AND PAYMENTS: The “Operator” will forward to the “Agency” all invoices pertaining to each and every one of their clients or group of clients and will attach to the same the original voucher or the corresponding Rooming List. The “Agency” agrees to pay the amount(s) stipulated in the previous clauses and invoice(s) for their client(s) within the time limit agreed in the Section C-5 of this present contract. A breach of payment conditions on behalf of the “Agency” will give the “Operator” the right to cancel or suspend the contract providing payment is requested from the “Agency” and the amount outstanding is still not

paid within a maximum of five (5) days from the date of request. This action will not affect the “Operator”’s rights to exercise the corresponding legal action for the breach of contract.

3. CLIENTS COMPLAINTS AND DISCOUNTS ON PAYMENTS: In accordance with the Spanish Law regarding the rights of user and consumers, no discounts will be accepted in relation to clients’ complaints regarding possible deficiencies in services rendered by the hotel, unless they have been notified by the client or his/her representative during his/her stay in the same, and receipt of such notification has been confirmed by the Hotel Manager. Any retention or deduction effected unilaterally by the “Agency”, without previous authorization in writing from the hotel, will be considered as a breach of payment obligations by the “Agency” and will give the “Operator” the right to automatically cancel the contract. Under no circumstances will any retention or deduction be accepted in concept of clients’ complaints following a period of one year from the date of the client’s stay at the Hotel.

4-NO SHOWS AND CANCELLATIONS: If after confirming a reservation the client should not arrive, the “Operator” reserves the right to demand payment to the “Agency” who agrees to pay the No-Show charge indicated in Section A of this contract. Any cancellation should be notified in accordance with the time limits stipulated in Section A of this contract and should this condition not be fulfilled, the “Operator” reserves the right to demand payment to the “Agency” and the “Agency” agrees to pay the same charge corresponding to No-Shows, as indicated in Section A of this contract.

5- APPLICATION MARKET: contract valid only and exclusively for the markets that are detailed in the observation 16. the hotel will be able to request to the agency/to to verify the market of origin of any reservation on which it exist any reasonable doubt, in any case, if at the arrival of the clients to the hotel, it is verified that the country of residence of them is different than the one agreed as per contract, the hotel would be entitled to reject the reservation

6- RENDERING OF SERVICES: The “Operator” guarantees that the Hotel will provide to clients of the “Agency” the services in line with its category. At the same time, the “Operator” guarantees that should the Hotel, due to its own fault, be unable to accommodate a client with the corresponding reservation, the “Operator” will provide alternative accommodation in another hotel of the same or superior category until such time as the “Operator” has availability in the originally contracted establishment, when the guest(s) must be reinstated.

Should the guest decide not to return to the originally contracted establishment, the difference in price between both establishments will be paid either directly by the guest or by the “Agency”. Should a client(s) be accommodated in an alternative hotel proposed by the “Agency”, in the event of a difference in price, this should be absorbed by the “Operator” providing this has been previously accepted by the “Operator”.

7-NON-LIABILITY: The “Operator” does not accept liability for deficiencies, inconveniences or damages in relation to the accommodation, food and beverage and other hotel services that may be originated as a consequence of any kind of alteration in the normal working activity within the hotel, such as strikes, closure by proprietors, etc. The “Operator” is also exempted from liability for all damages that could be suffered by clients, their person or their belongings, due to acts of terrorism, robberies or any criminal behaviour, which may occur within the hotel premises. 8- OPENING AND CLOSURE OF THE HOTEL: In the case that this contract does not include guarantee of occupancy, nor will the Agency be penalized if the beds contracted are not occupied, then the Hotel nor the Opertator shall be obliged to pay any compensation if due to the lack of clients, the hotel have to open and/or close later or earlier that the dates stipulated. The clients concerned, however, will be accommodated in hotels of the same or higher category.

9-SALES INFORMATION: The “Agency” will inform the hotel, in writing, at least every month, of the sales situation and will provide further information in relation to the evolution of the sales, when requested.

10-FORCE MAJEURE: The agreement reached in this document will be deemed without any effect whatsoever in case of “force majeure”, such as wars, catastrophes, epidemics, strikes and similar.

11-CONFIDENCIALITY OF THE CONTRACT: The clauses and conditions of this present document are confidential; therefore the “Agency” is obliged to keep them as such. At the same time, the “Agency” agrees that they will not make any public price comparison of the contracted hotel with other Agencies or Tour Operators who may have an allotment reserved in the same hotel.

12-MODIFICATION OF THE CONTRACT: Any possible modifications related to this present contract must always be made in writing and by mutual agreement of the parties, on the understanding that the rest of the contract will remain in force. Notwithstanding, the Operator, or the Hotel may modify unilaterally and at any moment the previously agreed ALLOTMENTS, RELEASE DATES AND MINIMUM DURATION OF STAY. In the case

of such modifications, the Operator or the Hotel will notify the Agency in writing.

13-SUBROGATION: In view of the mutual confidence shown in the drawing up of this document, the parties explicitly recognise their mutual right to cancel this contract in the event of transfer, lease or any other legal operation that may alter or modify the contractual relationship between the “Proprietors” and, should the case arise, the “Management” and the “Operator”, or that may affect the hotel to which the present contract applies. Should this situation arise, the party that wishes to terminate the agreement will give the other party sufficient prior notice of such intention.

14-DUPLICATION OF CONTRACTS: In case of discordance between the agreements stipulated in this contract and those agreed in any other contract previously signed by the parties, it is understood that those of this present contract will prevail

15-SALES AND PRESENTATION IN BROCHURES: The “Agency” agrees to put on sale all the beds contracted and to feature the Hotel, object of this contract, in its main brochure and/or web page, with photographs, written description and the corresponding logo, in accordance with instructions supplied by the Operator in each case. A copy of the brochure should be received by the “Operator” and Hotel, at least 15 days before the start of every season.

The prices and payment conditions for advertising in brochures, which shall be agreed by the parties in this contract, or at a later date, shall be subject to the conditions established in each case. Notwithstanding the above, the Operator shall not be obliged to pay any amount in connection with advertising if the Agency has not paid all the invoices derived from, or in connection with, the present Agreement, by the corresponding due date established for the same.

16.-INTERVENTION OF THE AGENCY: It is expressly agreed, independently of Articles 244 and subsequent of the Spanish Commercial Code; in the Royal Decree dated 25th March 1988 and the conditions of the same, established in the ministerial Order of the 14th April 1988, that the Agency acts in this present Contract of reservation of beds and accommodation, in the name of and on behalf of its represented company and, therefore, the Agency assumes voluntarily all the obligations and rights derived from this Agreement, in the terms indicated in Articles 1140 and subsequent of the Spanish Civil Code.

17.-DATA CONFIDENTIALITY: The Operator will receive the Rooming List with the personal details of the Agency’s clients and, therefore, will then become the entity in charge of this information. The Agency accepts and agrees to this, always upon the understanding that the facilitation of such details will not constitute a release of data, as specified in the Organic Data Protection Law.

The Operator will only use the personal details to which it has access for the purpose of this contract, in order to reserve the rooms requested and to be able to fulfil its accommodation obligations, as stipulated in this clause and undertakes not to disclose the same to third

parties. Once the clients included in the afore-mentioned Rooming List have been registered as clients of the Operator, having checked in at the Hotel, their details will be included in the Operator’s Database and will be used only for purposes previously agreed with the client.

Furthermore, the Operator, in its capacity as entity in charge of this information, undertakes to ensure that all security measures, both organisational and technical, are strictly followed, in accordance with the royal decree 1720/2007, from December 21st, which approved the regulations of the organic law 15/1999, from December 13, related to automatic files containing personal data, as well as all other relevant legislation as well as those imposed at all times by current legislation.

18.-SUSTAINABLE DEVELOPMENT: Through acceptance of this contract the “Agency” and the “Operator” agree to: Comply with all existing local, national and international legislation applicable to its activity.

Not use child labour, Not use any form of slavery or forced labour Provide employees with a safe and healthy work environment., Ensure respect for freedom of speech and rights of association, Not tolerate any form of negative discrimination (sex, race, religion, disability or others.), Eliminate any type of coercion or psychological or physical abuse., Comply with national agreements on wages and benefits, working hours and days off, Encourage the minimisation of the negative environmental impact of their business activities and to eradicate offers to clients which cause harm to the environment in which they operate., Ensure compliance with this best practise Code within its own supply chain, Inform employees about the contents of the Code. Furthermore, any form of sexual exploitation of children and fully supports all legal actions to prevent and punish related crimes will be condemned.

19.-PAID SEARCH ADVERTISING REQUIREMENTS. The Agency agrees not to bid in any Paid Search system on any keywords containing Meliá Hotels International’s intellectual property (names of hotels, brands, etc.) or any keywords substantially similar to Meliá Hotels International’s intellectual property, including Typos, neither alone nor in conjunction with any other terms or words.

20.-APPLICABLE LEGISLATION: The present contract will be interpreted in accordance with Spanish legislation.

21.-JURISDICTION: For any questions that may arise from the interpretation or execution of this Agreement, the Parties will renounce their rights and submit themselves to the Jurisdiction of the Law Courts and Tribunals stipulated in Observation (22) of the present Agreement.
